世茂股份(600823.SH):奧宸企業擬5.56億元收購中民愛普50%股權並需向其提供借款4.74億元

格隆匯8月22日丨世茂股份(600823.SH)公佈,為增強公司的盈利能力和市場競爭力,推動公司可持續發展,推進公司戰略佈局,為公司後續發展的有力支持和資源保障,公司控股子公司上海奧宸企業管理有限公司(“奧宸企業”)將收購重慶建普城市建設發展有限公司(“重慶建普城市”)所持有的天津中民愛普城市建設發展有限公司(“中民愛普”)50%股權。

中民愛普持有重慶越洋房地產開發有限公司(“越洋公司”)90%股權和重慶捷程置業有限公司(“捷程公司”)90%股權。越洋公司享有重慶市江北區江北城B19-3號、B19-4號、B20-1號地塊的土地使用權及其開發建設權益,捷程公司享有重慶市渝中區兩路口菜市場C11-1地塊的土地使用權及其開發建設權益。

經雙方協商同意,奧宸企業此次交易所對應的股權的交易對價合計為人民幣10.3億元。其中股權對價約人民幣5.56億元,奧宸企業向中民愛普提供股東借款人民幣約4.74億元。

奧宸企業由公司全資子公司蘇州世茂投資發展有限公司(“蘇州世茂投資”)持股51%,公司控股股東世茂房地產控股有限公司(“世茂房地產”)全資子公司蘇州世茂置業有限公司(“蘇州置業”)持股49%合資設立,為公司的控股子公司。

越洋廣場項目:指截至2019年6月30日時的項目用地、已建工程等全部權益,包括:未建的江北城B19-3號、B19-4號、B20-1號宗地,土地使用權證號:103房地證2009字第07611號、103房地證2009字第07612號、103房地證2009字第07613號;目標項目建設用地面積合計34,715㎡,計容建築面積288,565㎡,用途為商服用地,用地年限為40年,現狀為已完成基坑工程。

重慶中心項目:指截至2019年6月30日時的項目用地、已建工程等全部權益,包括:未建兩路口菜市場C11-1宗地,土地使用權證號:101D房地證2011字第00021號;目標項目建設用地面積合計51,646.7㎡,計容建築面積510,000㎡,用途為二類居住、商業用地,用地年限為居住50年,商業40年;現狀為項目T2塔樓已施工至47層,T3塔樓已施工至33層,“十”字平交開口處人工挖孔樁開挖,裙樓8區車庫頂板層已完成,裙樓7區車庫頂板層已完成,裙樓2區基礎完成,裙樓6區施工至B5層。
