合鍛智能(603011.SH)擬以3394.90萬元收購合肥匯智新材料42.4362%股權
格隆匯8月22日丨合鍛智能(603011.SH)公佈，公司擬以3394.90萬元人民幣收購合肥匯璟先進陶瓷材料科技有限公司持有的合肥匯智新材料科技有限公司42.4362%股權。
標的公司核心技術：粉末注射成形(Powder Injection Molding，以下簡稱“PIM”)是傳統粉末冶金技術與現代塑料注射成形工藝相結合而形成的一種零部件新型成形技術。根據粉末的化學性質不同，分為金屬注射成形(Metal Injection Molding，以下簡稱“MIM”)和陶瓷注射成形(Ceramic Injection Molding, 以下簡稱“CIM”)。
合肥匯智掌握不鏽鋼、可伐金、鎳基合金、銅、陶瓷、玻璃等材料體系的核心喂料配方和與之配套的全套PIM生產工藝，在生產過程中，所有喂料均為自己製備。2018年榮獲“智能裝備軍民兩用科技創新大賽”一等獎。
PIM技術的核心是喂料配方。喂料是通過捏合、均勻攪拌、擠壓等方法，在一定的温度下將粉體與粘結劑混煉成均勻、穩定的懸浮體，喂料的製備在整個粉末注射成形過程中佔據極重要的位置。
合肥匯智通過自主研發的核心配方製備的喂料具有流動性好、生坯強度高、脱脂效率高、易於注射成形、成本低等特點，保證了注射坯體填充均勻、後道工序不變形；通過材料的微結構控制、缺陷控制，可以獲得高強度、高韌性的性能指標。合肥匯智MIM、CIM配方具有代差優勢：第1代粘結劑配方以石蠟、PT為基礎原料，第2代粘結劑及脱脂技術以巴斯夫技術為代表，也是目前主流技術，合肥匯智配方已超越當前主流技術0.5-1代。喂料中使用的粘結劑配料均為環保型材料，在脱脂環節，只排放CO2、水和少量總烴，具有環保優勢。
隨着5G時代到來，高速光通信模塊的市場需求即將爆發式增長。該產品採用特種低膨脹合金，具有結構高度複雜、高精度特點，主要客户有均為上市公司或行業龍頭企業。目前合肥匯智已成為國內光通訊龍頭企業的主力供應商。
軍用電子精密構件對材料性能要求嚴苛，結構高度複雜，高精度。通過對傳統技術、產品的替代，以及國防工業的升級換代，該類產品市場需求快速穩步增長。中航光電、航天電器等軍工企業是合肥匯智長期穩固的客户。由於合肥匯智技術的獨特性，合肥匯智已成為國內領先企業主力供應商，且多款產品獨家供應，無競爭對手。
目前，合肥匯智金屬精密製造工序中後機加工主要外包給第三方，未來幾年，隨着業務的拓展，後機加工量也將快速增長。通過此次交易，可利用合鍛智能設備製造能力、廠房資源等，新增機加工業務，實現雙方資源互補，協同發展。
打通粉末成形裝備與工藝技術的產業路徑，更好提升粉末高端成形壓機的研發與製造，拓寬市場。
金屬粉末注射成形應用領域廣泛，且技術門檻高，合肥匯智團隊掌握核心技術，加工精度、成本優勢明顯，具有快速發展潛力。
此次收購完成後，合肥匯智將成為公司參股子公司，不會導致公司合並報表範圍發生變化，不會對公司2019年度財務狀況產生重大影響。
