新和成(002001.SZ)擬以募集資金對子公司增資5億元保障年產25萬噸蛋氨酸項目順利實施
格隆匯8月22日丨新和成(002001.SZ)公佈，公司第七屆董事會第十八次會議、第七屆監事會第十三次會議審議通過了《關於以募集資金對全資子公司增資的議案》，同意公司以增資方式將部分募集資金投入全資子公司山東新和成氨基酸有限公司，以保障年產25萬噸蛋氨酸項目的順利實施。
公司經中國證券監督管理委員會《關於核准浙江新和成股份有限公司非公開發行股票的批覆》(證監許可[2017]1684號)核准，向9名特定投資者非公開發行股票1.75億股新股，每股面值1.00元，每股發行價格為28.00元，募集資金總額49億元，減除發行費用約3292.45萬元(不含税)後，募集資金淨額為約48.67億元，已存入公司開立的募集資金專户。上述資金到賬情況已經天健會計師事務所(特殊普通合夥)審驗，並出具了天健驗〔2017〕503號《驗資報告》。
此次募集資金投資項目為年產25萬噸蛋氨酸項目，實施主體為公司全資子公司山東新和成氨基酸有限公司。結合募集資金實際到賬情況及公司未來業務發展規劃，為提高募集資金的使用效率，加快推進募投項目的建設進度，公司計劃以分期增資的方式實施增資計劃。經公司七屆六次董事會審議同意，於2018年1月4日，募集資金10億元以增資方式投入山東新和成氨基酸有限公司，其中，1億元用於增加註冊資本，9億元計入資本公積。本期增資將部分募集資金5億元以增資方式投入山東新和成氨基酸有限公司。其中，0.5億元用於增加註冊資本，4.5億元計入資本公積。此次增資完成後，山東新和成氨基酸有限公司註冊資本將增至7.5億元，仍為公司的全資子公司，且該公司資金實力和經營能力將進一步提高，有利於保障募投項目的順利實施。
山東新和成氨基酸有限公司經營範圍為生產、銷售：二硫化碳、丙烯醛、硫酸、硫化氫、甲硫醇、4-硫代戊醛、氰化氫(以上安全許可證有限期限以許可證為準)；蛋氨酸、化肥；銷售：飼料添加劑、化工產品(不含許可產品)；天然氣項目的投資、建設、管理；國家允許的貨物進出口。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
此次將部分募集資金以增資方式投入公司全資子公司，未改變募集資金的投資方向和項目建設內容，不會對項目實施造成實質性影響，同時還有利於提高募集資金的使用效率，保障募集資金投資項目的順利穩步實施，符合公司的長遠規劃和發展戰略，不存在損害公司和中小股東利益的行為。
