依米康(300249.SZ)擬終止設立產業併購基金並註銷深圳依米康道格產業投資合夥企業(有限合夥)
格隆匯8月21日丨依米康(300249.SZ)公佈，2018年5月4日，公司召開第三屆董事會第四十二次會議審議通過了《關於設立投資產業併購基金的議案》，同意公司或公司指定的控股子公司與深圳道格資本管理有限公司(“道格資本”)共同出資成立以智慧城市及數據中心相關產業運作及整合等為主要投資方向的產業併購投資基金(“併購基金”)，併購基金採取母子基金的架構，總規模預計為10億元人民幣，根據項目進程實繳出資。公司或公司指定的控股子公司擬以自有資金認繳出資2.5億元人民幣，作為併購基金的有限合夥人。
公司與道格資本於2018年5月4日簽署了《依米康科技股份有限公司與深圳道格資本管理有限公司關於設立產業併購基金之合作協議》(“《合作協議》”)，並於2018年5月10日簽署了《深圳依米康道格產業投資合夥企業(有限合夥)合夥協議》(“《合夥協議》”)。
根據公司與道格資本簽署的《合作協議》及《合夥協議》，公司已與道格資本共同設立了母基金—深圳依米康道格產業投資合夥企業(有限合夥)(“母基金”或“合夥企業”)，並於2018年5月28日收到深圳市市場和質量監督管理委員會福田市場監督管理局下發的《營業執照》。母基金註冊資本400萬元，其中公司認繳300萬元，持股比例75%，截止目前，母基金註冊資本尚未實繳，暫未在中國證券投資基金業協會備案。
母基金自成立以來，公司與合夥人針對智慧城市及數據中心相關產業併購基金投資領域進行了研究，也利用各自的資源對相關領域的項目進行了前期搜索和儲備，但基於目前市場環境變化及公司戰略考慮，為提高資金使用效率，經審慎考慮並與道格資本協商決定終止設立產業併購基金並同步註銷母基金。
公司於2019年8月21日召開第四屆董事會第七次會議審議通過了《關於終止設立產業併購基金並註銷深圳依米康道格產業投資合夥企業(有限合夥)的議案》，同意公司終止設立產業併購基金並同步註銷母基金。
截止公告披露日，公司對母基金認繳的註冊資本尚未實繳，暫未完成在中國證券投資基金業協會備案，併購基金尚未開展對外投資業務，母基金尚未開展實質性運營。此次終止設立產業併購基金並註銷母基金不會對公司的日常生產經營活動產生實質性影響，不會對公司財務及經營狀況產生不利影響。
