三盛教育(300282.SZ)擬收購新三板掛牌企業恆大教育35%的股權
格隆匯8月21日丨三盛教育(300282.SZ)公佈，為推進公司“打造行業領先的綜合性教育產業集團”戰略目標的落地，公司着力選擇教育行業優秀企業進行深度合作，共同打造有品格、有品質的教育，為社會提供更優質、更具匠心的教育服務。
2019年8月21日，公司與自然人王靜、北京和盈同創投資顧問有限公司(“和盈同創”)以及山東三品恆大教育科技股份有限公司(“目標公司”)簽訂了《投資合作框架協議》，公司擬分兩次分別購買目標公司10%股權、25%股權，目標公司的整體預估值為7.8億元，兩次投資的金額分別為7800萬元，19500萬元，合計投資金額預計為2.73億元。
業績承諾方承諾目標公司2019年下半年、2020年度、2021年度和2022年度經審計的扣除非經常性損益後歸屬於母公司所有者的淨利潤分別不低於3000萬元、6800萬元、8160萬元與9790萬元。
2018年公司全面聚焦於教育領域，明確了“做大做強智慧教育和學歷教育服務，加深智慧教育和學歷教育的鏈接，提升公司的價值創造能力”的戰略發展方向，明確了“外延為突破、內生為基礎”的戰略落地路徑。秉承“極致”、“匠心”理念，公司在保證原有智能教育裝備與服務業務穩定健康發展的基礎上，在市場前景廣闊且行業政策鼓勵的教育行業細分領域，公司將選擇1-2家行業優秀企業進行深度合作，共同打造有品格、有品質的教育，為社會提供更優質、更具匠心的教育服務，打造行業領先的綜合性教育產業集團。
目標公司為新三板掛牌企業，證券代碼為836132.OC，企業定位為科技教育一站式服務供應商，主要從事青少年兒童科學課程的研發和培訓、幼兒科學類教具的研發推廣和銷售等業務。目標公司以機器人教育培訓為載體，主營業務包括面向3-18歲青少年，提供To C類機器人教育培訓；面向幼兒園、中小學等B端客户提供機器人教育課程輸出服務，及科技類教具銷售等。
三盛集團是一家擁有三盛地產、三盛教育、三盛健康、三盛科技四大業務板塊的大型產業投資集團，旗下地產業務佈局已超過20多個城市，物業管理已進駐北京、福州、廈門、青島、濟南等全國近二十個城市，在管面積達5000多萬平方米。作為三盛集團教育業務的發展平台，公司將依託集團在地產、物業管理等方面的資源優勢，攜手目標公司核心管理團隊，進一步深化公司在教育服務尤其是素質教育服務領域的佈局，打造有品格、有品質的素質教育服務。此次交易第二次投資完成後，目標公司將納入公司合併範圍，目標公司盈利狀況良好，有利於提升公司整體盈利能力和價值。
