乾景園林(603778.SH)與中發展創投簽訂合作框架協議
格隆匯8月20日丨乾景園林(603778.SH)公佈，為共同面對新形勢下的機遇與挑戰，本着高效合作的原則實現資源共享、優勢互補，2019年8月20日，公司(“甲方”)與北京中關村發展創業投資基金管理有限公司(“中發展創投”、“乙方”)在北京簽訂《北京乾景園林股份有限公司與北京中關村發展創業投資基金管理有限公司之合作框架協議》。
中發展創投成立於2016年10月，是中國證券投資基金業協會登記的私募股權、創業投資基金管理人，登記編號為：P1067427。中發展創投的控股股東為中關村發展集團股份有限公司(以下簡稱：中發展集團)，中發展集團成立於2010年，是北京市委市政府為進一步加快中關村國家自主創新示範區建設，加大市級統籌力度，運用市場化手段配置創新資源的國有大型企業。
合作內容如下：
(1)甲方將充分利用其在生態園林建設、景觀設計、森林旅遊領域的經營優勢、品牌優勢和上市公司資本平台優勢，與乙方在中關村國家自主創新示範區園區建設、大健康、大環保等方面開展戰略合作。
(2)乙方將充分利用其中關村國家自主創新示範區項目資源、創新資源優勢、投融資等金融服務優勢及品牌影響力，對雙方合作的園林建設、景觀設計、園區運營管理、森林康養等項目提供支持。
(3)甲方與乙方擬就雙方感興趣的領域開展多種合作，乙方或其關聯方有意向通過受讓甲方控股股東、實際控制人股份或其他《證券法》規定的合法方式成為甲方的戰略投資人。
(4)本協議僅為記載雙方開展合作的意向性協議，不代表對甲方進行投資或雙方合作的承諾，雙方具體合作方案(包括但不限於內容、方式和細節、具體權利義務等)，由合作雙方另行協商並以雙方簽訂的正式協議內容為準。
此次擬引進中發展創投作為戰略投資者，達成戰略合作意向，符合公司發展戰略，有利於雙方充分發揮各自優勢，實現合作共贏，助力公司長期發展。
