淳中科技(603516.SH)董事張峻峯減持股份時誤操作致短線交易
格隆匯8月20日丨淳中科技(603516.SH)公佈，公司董事、副總經理張峻峯於2019年8月20日在減持公司股份的過程中，因誤操作而導致短線交易。
公司於2019年5月10日在上海證券交易所網站刊登了《北京淳中科技股份有限公司關於董監高及持股5%以上股東減持計劃公告》。2019年8月20日，張峻峯按照減持計劃規定，減持公司股份。
張峻峯於2019年8月20日按照減持計劃累計賣出公司股票5萬股，賣出均價34.90元/股，賣出最高價為34.97元/股。
由於操作失誤，張峻峯先生將“賣出”指令誤操作成“買入”指令，買入公司股票1700股，買入均價為34.47元/股，最低買入價為34.47元/股。
上述交易行為違反了《證券法》第四十七條及上海證券交易所的相關規定，在六個月內賣出公司股票又買入的行為構成短線交易。經公司核查，該筆短線交易行為不存在因獲悉內幕信息而交易公司股票的情況，亦不存在利用短線交易謀求利益的目的。
依據《證券法》第四十七條的規定：上市公司董事、監事、高級管理人員、持有上市公司股份5%以上的股東，將其持有的該公司的股票在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益。按照“最高賣價減去最低買價”的計算方法，即該次買入股票1,700股最低價34.47元/股小於本次賣出股票最高價34.97元/股，計算所得收益為1,700股×34.97元/股-58,599.00元，即850.00元。上述所得收益850.00元作為本次短線交易的獲利金額，將全數上交公司所有。
張峻峯因本次短線交易而給公司和市場帶來的影響，向廣大投資者致以誠摯的歉意，今後將嚴格規範買賣本公司股票的行為，認真學習相關法律、法規，勤勉盡責，重視並履行相關職責和義務。
公司將進一步要求全體董事、監事、高級管理人員及持有公司5%以上股份的股東加強對《證券法》、《上海證券交易所股票上市規則》、《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》、《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》等相關法律法規和規範性文件的學習，並要求相關人員嚴格遵守有關規定，杜絕此類事件再次發生。
