安潔科技(002635.SZ)擬向威斯東山增資1000萬元及設立孫公司
格隆匯8月20日丨安潔科技(002635.SZ)公佈，公司於2019年8月20日召開第四屆董事會第二次會議審議通過了《關於對全資子公司增資及設立孫公司的議案》，公司擬向蘇州威斯東山電子技術有限公司(“威斯東山”)增資1,000萬元人民幣用於新設威斯東山子公司蘇州威潔通訊科技有限公司(暫定名，最終核准名稱以工商管理部門核定的為準，“威潔通訊”)，此次增資完成後，威斯東山的註冊資本由1億元增加至1.1億元，增資後安潔科技出資佔威斯東山註冊資本的100%。
蘇州威斯東山電子技術有限公司經營範圍：研發、生產、銷售:電子產品；電子產品領域內的技術研發及服務；自營和代理各類商品及技術的進出口業務。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
擬設立蘇州威潔通訊科技有限公司經營範圍：研發、生產、銷售：通訊產品、電子元器件及組件；道路普通貨物運輸；自營和代理各類商品及技術的進出口業務(國家限定公司經營或禁止進出口的商品及技術除外)。(依法須經批准的項目，經相關部門批准後方可開展經營活動)。
隨着5G通信行業的技術進步和市場發展，射頻器件和5G天線等通信領域具有廣闊市場空間。公司將以新設孫公司威潔通訊為平台，整合公司及其各子公司資源一起研究和開發射頻器件和5G天線等5G相關的通信領域產品。新設孫公司引進新的管理、研發人才，公司現有管理團隊和新引進管理團隊，基於自身多年的行業經驗進行相互借鑑，在研發和生產等方面形成有效的技術與工藝共享機制，從而公司開拓新的技術領域和開發更適合客户需求的產品。
此次投資新設孫公司，威潔通訊從試產線到規模化生產，可以迅速介入5G陶瓷濾波器業務領域，分享下游產品快速增長的市場空間。公司通過對陶瓷濾波器業務為中心的5G產品的全方位整合支持，推動公司技術創新、產業創新和提升經營能力，進一步增強公司的綜合競爭實力，助力公司把握5G通信技術所帶來的市場發展機遇，實現對5G通信產業的戰略佈局，符合公司和全體股東的利益。
