光洋股份(002708.SZ)控股股東仍為光洋控股實控人變為深圳富海光洋股權投資基金合夥企業(有限合夥)
格隆匯8月19日丨光洋股份(002708.SZ)公佈，2019年6月17日，公司控股股東常州光洋控股有限公司(“光洋控股”)的股東程上楠、程錦蘇(JOAY CHENG)、朱雪英(“轉讓方”)與深圳富海光洋股權投資基金合夥企業(有限合夥)、深圳市東方富海創業投資管理有限公司(“受讓方”)、深圳市東方富海投資管理股份有限公司簽署了《股權轉讓協議》，轉讓方將合計持有光洋控股100%股權轉讓給受讓方。
2019年7月30日，受讓方已向轉讓方支付了第一筆股權轉讓款人民幣4.5億元；2019年8月7日，受讓方已向轉讓方支付了第二筆股權轉讓款人民幣1.5億元。按照《股權轉讓協議》約定，轉讓方應當在收到第二筆股權轉讓款之日起15個工作日內辦理完畢股權變更登記，在轉讓方、受讓方辦理股權過户手續之前，應將光洋控股持有公司股票的70%出質給程上楠，用於擔保受讓方依據股權轉讓協議剩餘股權轉讓價款支付義務的履行。光洋控股質押手續已於2019年8月15日在中國證券登記結算有限責任公司辦理完畢。
2019年8月19日，光洋控股完成工商變更登記，取得常州市市場監督管理局換髮的《營業執照》。
此次權益變動前，程上楠、程錦蘇(JOAY CHENG)、朱雪英合計持有光洋控股100%股權，光洋控股持有公司股份約1.39億股，佔公司總股本的29.61%，程上楠、張湘文夫婦直接持有公司股份約4607.05萬股，佔公司總股本的9.83%，公司控股股東為光洋控股，公司實際控制人為程上楠、張湘文夫婦。
此次權益變動後，程上楠、張湘文夫婦直接持有公司股份約4607.05萬股，佔公司總股本的9.83%，深圳富海光洋股權投資基金合夥企業(有限合夥)、深圳市東方富海創業投資管理有限公司合計持有光洋控股100%股權，間接持有公司29.61%股權，公司控股股東仍為光洋控股，公司實際控制人為深圳富海光洋股權投資基金合夥企業(有限合夥)。
