格隆匯8月19日丨金洲管道(002443.SZ)公佈,為加快東部新城開發建設,促進產業轉型升級,合理調整新城區塊產業佈局,2019年8月15日公司下屬全資子公司湖州金洲石油天然氣管道有限公司(“湖州金洲”)與湖州市吳興區八里店鎮人民政府(“八里店鎮人民政府”)、湖州吳興南太湖建設投資有限公司(“南太湖建設”)簽訂《湖州金洲石油天然氣管道有限公司資產徵收協議》,約定湖州金洲廠區項目土地、房產等資產以總計人民幣約3.78億元的價格被政策性收購。

協議的主要內容(甲方(收購方)為湖州市吳興區八里店鎮人民政府;乙方(被收購方)為湖州金洲石油天然氣管道有限公司;丙方為湖州吳興南太湖建設投資有限公司):因乙方廠區所屬區域根據湖州市東部新城城市建設要求已調整規劃,故對廠區項目土地、房產等資產進行政策性收購。協議資產徵收範圍為:乙方所屬區域內的土地及不能搬遷的資產,主要為乙方位於湖州八里店新大橋東南側,總面積約249.78畝,產權證號:湖土國用(2012)019605、湖土國用(2012)019610、湖土國用(2012)019905的土地使用權、部分乙方實際使用但尚未取得土地使用權證的土地,以及上述土地上的建築物、構築物和其他不能搬遷的資產。

協議顯示,有證土地、有證土地地上全部資產等按有證土地面積人民幣150萬元/畝徵收,合計人民幣37,467萬元;其他土地及該範圍土地地上全部資產,合計人民幣341.2067萬元。各方一致確認,可搬遷、拆除的設備由乙方自行搬遷和拆除,其權屬歸屬於乙方,搬遷、拆除費用由乙方自行負責;不能搬遷的設施設備及協議區域範圍內的房屋、廠房、景觀石、圍牆、水泥地坪、裝修等資產權屬歸屬於丙方,由丙方另行處理。綜上,丙方應支付乙方的總資產徵收價款合計人民幣37,808.2067萬元,收購過程中涉及相關税收由乙方負責繳納。

該協議簽訂後7個工作日內,乙方處理完畢協議徵收資產涉及的抵押、擔保等債權債務關係;協議簽訂後240個日曆日內,乙方將協議土地上的可移動資產全部搬遷完畢。

湖州金洲此次與八里店鎮人民政府、南太湖建設簽訂《湖州金洲石油天然氣管道有限公司資產徵收協議》,因湖州金洲廠區所屬區域根據湖州市東部新城城市建設要求已調整規劃,故對廠區項目土地、房產等資產進行政策性收購,預計將對公司業績產生重大影響。

目前公司及下屬公司生產經營正常,並在不影響公司正常生產經營的情況下完成徵收工作,此次徵收事項屬政府政策性收購,對公司正常生產經營不會產生影響,此次徵收所得款項將用於公司日常生產經營活動所需營運資金。
