山河智能(002097.SZ)擬分別與華邦創世及北京明山共設華創投資及山河工程
格隆匯8月19日丨山河智能(002097.SZ)公佈，公司擬使用自有資金人民幣2970萬元與蘇州華邦創世投資管理有限公司(“華邦創世”)共同發起設立蘇州華邦創世創業投資有限公司(具體以工商行政主管部門核准的名稱為準，“華創投資”)。華創投資公司註冊資本為人民幣3000萬元。
公司擬使用自有資金人民幣1950萬元與北京明山管理諮詢中心(普通合夥)(“北京明山”)共同發起設立山河智能國際工程有限公司(具體以工商行政主管部門核准的名稱為準，“山河工程”)。山河工程公司註冊資本為人民幣3000萬元。
華創投資經營範圍：創業投資，為創業企業提供創業管理服務；以自有資金對外投資。(依法須經批准的項目，經相關部門批准後方可開展經營活動)(經營範圍以登記機關核准為準)。經營宗旨：整合利用山河智能在工程機械領域的技術優勢以及資金實力，結合華邦創世的專業投資經驗，投資高端製造業領域及其上下游企業。合資公司的註冊資本為人民幣3000萬元，山河智能持股比例99%，華邦創世持股比例1%。如因業務需要，經股東各方協商一致，可以增加註冊資本。
山河工程經營範圍：地基與基礎工程施工、土方工程施工、航道工程施工、市政公用工程施工、公路工程施工、河道疏浚施工、水利工程施工、巖土工程勘察、設計、監測、諮詢及上述領域內的技術服務、技術諮詢、技術開發、技術轉讓，機電設備、建築工程設備、機械設備、建築裝潢材料的銷售，自有設備租賃，從事貨物及技術的進出口業務。(具體以工商核准的經營範圍為準)。經營宗旨：整合利用山河智能在工程機械領域的產品優勢及工法優勢，結合北京明山管理團隊的業務資源，在“一帶一路”沿線國家及其他海外區域共同經營國際工程施工市場。合資公司的註冊資本為3000萬元人民幣。山河智能以現金出資1950萬元，持股比例65%；北京明山以現金出資1050萬元，持股比例35%。如因業務需要，經股東各方協商一致，可以增加註冊資本。
公司與華邦創世合作設立華創投資，將藉助華邦創世及其合作方的專業投資機構的能力和經驗，提高對投資標的相關運作的專業性，幫助公司實現外延式擴張，有利於本公司優化產業佈局，積極把握產業發展中的良好機會，加快實現公司戰略目標，提升公司未來盈利能力。
公司與北京明山合作設立山河工程，能充分發揮各自優勢，利用各方在建築施工領域的技術、製造、管理、市場方面的經驗，積極響應國家“一帶一路”戰略，在整合各方資源基礎上共同發展，為公司以實現良好的社會效益和經濟效益。有利於完善山河智能未來的產業鏈，也符合公司發展戰略的要求。
從長遠來看，上述投資對上市公司未來的戰略發展具有積極意義和推動作用，能有效提升上市公司未來的資本回報率。
