每日互動(300766.SZ)子公司擬與專業機構合作設立產業投資基金
格隆匯8月19日丨每日互動(300766.SZ)公佈，為了進一步推進公司產業發展，提升公司綜合競爭優勢，公司擬以全資子公司杭州應景科技有限公司(“應景科技”)與國家信息中心旗下的北京國信中數投資管理有限公司(“國信中數”)及其他合夥人共同投資設立北京國信雲控科技合夥企業(有限合夥)(暫名，最終以工商核准登記的名稱為準，“產業基金”或“合夥企業”)，主要投資於大數據、金融徵信、人工智能及信息安全等能夠與公司現有業務形成有效資源協同的相關產業。產業基金認繳出資總規模不超過人民幣1億元，首期實繳出資規模為5100萬元。
公司全資子公司應景科技擬與北京國信中數投資管理有限公司、黃凱紅、陳鑫共同簽署《合夥協議》，協議主要內容如下：基金名稱為北京國信雲控科技合夥企業(有限合夥)(暫定名，以工商登記部門最終核定為準)；基金認繳出資的總規模不超過人民幣 1 億元，首期實繳出資總額為人民幣 5100 萬元。合夥企業的存續期限為首輪募集完成日起 5 年，投資期為首輪募集完成日起至首輪募集完成日後的第 3 個週年日或協議約定的投資期提前終止之日(以孰早為準)。合夥企業存續期限屆滿前，經合夥人會議決議同意，合夥企業的存續期延長兩次，每次延長期限為一年。
產業基金重點投資於大數據、金融風控、人工智能及信息安全等相關的產業；投資相對穩健、低風險，擁有良好回報空間、有潛力的公司、企業或其他經濟組織的股份、股權、可轉債等類似權益、業務和資產，特別是對前述行業領域內的成長期和成熟期企業進行股權或類似權益投資。
公司此次與專業機構合作設立產業基金，旨在充分發揮和利用合夥企業各方的優勢和資源，投資於能夠與公司現有業務形成有效資源協同的相關產業，為公司進一步加快產業整合、實現資本增值提供支持，促進公司整體戰略目標的實現。
該產業基金投資方向符合公司大數據產業發展戰略，有利於加快公司產業整合步伐、加大技術資源儲備與強化投資能力，進一步實現公司持續、健康、穩定發展。公司預計此次投資對公司 2019 年的業績不產生重大影響。
此次公司與專業投資機構合作設立產業投資基金不涉及經營具體業務，主要以股權投資為主，目前與公司不構成同業競爭。但在後續投資經營過程中，如果產業投資基金可能投資與公司主營業務相同或相近企業產生同業競爭的風險時，各方將嚴格按照有關法律法規、規範性文件等要求，按照公平、公允等原則協商妥善解決。
