澳洋順昌(002245.SZ)及子公司擬轉讓揚州順昌20%股權予合順企業推動揚州順昌管理層持股
格隆匯8月15日丨澳洋順昌(002245.SZ)公佈，公司為進一步優化揚州澳洋順昌金屬材料有限公司(“揚州順昌”)股權架構，促進揚州順昌核心員工與公司共同成長與發展，公司擬推動揚州順昌核心員工持股，將公司及全資子公司江蘇鼎順創業投資有限公司(“鼎順創投”)持有的揚州順昌20%股權轉讓給張家港合順企業管理合夥企業(有限合夥)(“合順企業”)，轉讓對價為890萬元人民幣。轉讓完成後，公司持有揚州順昌80%股權，合順企業持有揚州順昌20%股權。2019年8月15日，公司及鼎順創投與合順企業就上述事項簽署了《股權轉讓協議》。
揚州澳洋順昌金屬材料有限公司經營範圍：金屬材料的加工、倉儲、銷售公司自產產品，提供金屬材料供給方案的技術服務,金屬件熱鍍梓加工、噴塑，自營和代理各類商品及技術的進出口業務。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
截至2018年12月31日，揚州順昌的資產總額為10338.39萬元，負債總額6436.22萬元，淨資產3902.16萬元，應收賬款370.02萬元，其他應收款8.43萬元，2018年度營業收入9376.71萬元，營業利潤918.64萬元，淨利潤651.10萬元，經營活動產生的現金流量淨額553.24萬元。(經審計)截至2019年6月30日，揚州順昌的資產總額為11945.12萬元，負債總額8179.92萬元，淨資產3765.19萬元，2019年上半年營業收入4210.45萬元，營業利潤555.78萬元，淨利潤493.03萬元。(未經審計)
此次交易，是公司推動揚州順昌管理層持股的重要舉措，有利於揚州順昌與核心員工共同成長，有利於揚州順昌的可持續發展。此次股權轉讓完成後，公司仍持有揚州順昌80%股權，仍為揚州順昌的控股股東。合順企業合夥人為揚州順昌的核心員工，具有交易事項的付款能力，公司股權轉讓所得款項將補充公司流動資金。
