旺能環境(002034.SZ)擬3.5億元投資汕頭澄海三期擴建項目及旺能環保擬向鹿邑旺能增資6200萬元
格隆匯8月14日丨旺能環境(002034.SZ)公佈，公司為公司戰略發展規劃的需求，將進行以下對外投資事項：
對外投資事項一：擬由全資子公司浙江旺能環保有限公司(“旺能環保”)以貨幣資金向鹿邑旺能環保能源有限公司(“鹿邑旺能”)進行增資，增資金額為6200萬元，增資之後鹿邑旺能的註冊資本變為8200萬元，旺能環保對其持股比例不變，仍為100%。
對外投資事項二：由於汕頭市澄海區社會經濟快速發展，城鄉生活垃圾產生量和收集率不斷增加，現有垃圾處理規模已不能滿足垃圾處理的實際需要，公司下屬全資項目公司汕頭市澄海潔源垃圾發電廠有限公司(“汕頭澄海”)經項目公司主管部門同意，擬啟動三期擴建項目，採取BOT模式，垃圾處理規模為750噸/日，項目總投資約為3.5億元人民幣(具體以政府部門核准文件為準)。
上述對外投資事項涉及的交易總金額為人民幣4.12億元，佔公司最近一期經審計總資產(62.09億元)的6.64%，佔公司最近一期經審計淨資產(36.36億元)的11.33%。
鹿邑旺能環保能源有限公司經營範圍：垃圾焚燒發電,垃圾處理服務,垃圾處理技術研究及相關技術服務。鑑於鹿邑旺能還在籌建期，尚未開始運營，目前沒有收入，截止2019年7月31日，鹿邑旺能總資產為2589.60萬元，淨資產為-96.35萬元，淨利潤為-48.46萬元，負債總額為2685.95萬元。(該數據未經審計)
汕頭澄海採取BOT模式已成功運營二期共計675噸/日的生活垃圾焚燒發電項目。2018年全年經審計的營業收入為6242.02萬元，經審計的淨利潤為2,517.43萬元；2019年1-7月的營業收入為4491.61萬元，淨利潤為1890.79萬元，截止2019年7月31日，汕頭澄海資產總額為約3.40億元，負債總額為約1.51億元，淨資產為約1.89億元，資產負債率為44.44%。(該數據未經審計)
增資鹿邑旺能是公司根據鹿邑旺能的投資建設情況、總投規模、資金需求安排等情況做出的決定，不存在額外風險，不會對公司財務及經營狀況產生不利影響，不會導致公司合併財務報表範圍變更，不存在損害公司及其股東特別是中小股東利益的情形。
投資汕頭澄海是公司根據汕頭市澄海區目前的垃圾處理規模與實際垃圾產生量之間的缺口，經項目公司主管部門同意後，擬投資汕頭澄海三期擴建項目。公司此次對外投資符合公司業務戰略規劃，有利於增加公司在廣東省的生活垃圾處理規模，增強公司在固廢處理業務領域的綜合實力，提高公司未來營業收入。
