雅生活服務(03319.HK)股東綠地金融減持5000萬股
格隆匯10月15日丨雅生活服務(03319.HK)公佈，本公司接獲綠地金融投資控股集團有限公司通知，綠地金融全資附屬公司及本公司主要股東綠地金融海外投資集團有限公司於2019年10月15日在公開市場出售5000萬股本公司境外上市外資股（H股），平均價格為每股股份21.18港元。
緊隨出售事項後，綠地金融分別透過其全資附屬公司綠地海外及寧波綠璡於5000萬股H股及1億股非上市股股份中擁有權益，合共佔本公司已發行股本總數約11.25%。出售事項主要基於綠地金融整體發展考量，並不影響綠地金融的控股公司綠地控股集團股份有限公司與本公司的戰略合作。出售事項完成後，通過旗下的金融投資平台綠地金融持有本公司股份，綠地控股仍為本公司第二大股東。
綠地控股承諾將繼續嚴格遵守與本公司的控股股東雅居樂集團控股有限公司及本公司訂立的投資合作框架協定，繼續維護和持續發展與本公司的戰略合作伙伴關係，繼續支持本集團的物業管理及相關增值服務業務發展，並避免同業競爭，為本公司的快速發展提供全力支持。
自2017年本公司與綠地控股建立戰略合作關係以來，雙方合作良好，截至2019年6月30日止，本公司已自綠地控股承接累計超過34百萬平方米的合約管理面積。而在截至2019年6月30日止的6個月期間，本公司已自綠地控股新增逾12百萬平方米的合約管理面積，已超過投資合作框架協議中規定的年度保證及優先物業服務面積。
出售事項完成後，綠地控股將繼續根據投資合作框架協議，確保本公司可獲得協議中規定的保證及優先物業服務面積。在品牌管理方面，綠地控股將按約定繼續把綠地物業業務運營所需的商標、品牌免費授予綠地物業在物業管理業務範圍內使用，實現雅居樂物業及綠地物業雙品牌戰略目標。此外，綠地控股亦支持本集團通過第三方拓展及收併購進行規模擴張和全產業鏈佈局的戰略。截止2019年6月30日，來自第三方開發商項目佔本公司總在管建築面積的72.4%。
同時，出售事項將使本公司的股票公眾持股比例從原本的約25%提升至約28.75%，有助提升股票流通市值。綠地金融已向本公司表明對本公司業務發展前景的看好及樂觀態度，目前並無進一步減持計劃。於本公告日期，綠地金融仍為本公司主要股東。
