第一拖拉機股份(00038.HK)擬出售兩間附屬公司100%股權 聚焦核心業務
格隆匯10月11日丨第一拖拉機股份(00038.HK)宣佈，於2019年10月11日，公司擬向公司控股股東中國一拖集團出售新疆裝備公司100%股權，代價約為人民幣1.84億元；及洛陽拖拉機(公司擁有51%權益的附屬公司)擬向中國一拖集團出售洛陽西苑100%股權，代價約為人民幣1.73億元(經就股息派付作出調整後)。
新疆出售事項及洛陽西苑出售事項的淨收益預計分別約為3787萬元及6162萬元。集團擬將所得款項淨額用於加強集團產品的開發及研究預算及用作集團一般營運資金。
經過多年高速增長，拖拉機市場保有量大，新的市場需求動力不足，拖拉機市場已由"增量"市場轉向"存量"市場。受保有量增加、種糧和作業收益下降等多種因素影響，大中拖產品市場需求持續低迷。2018年，行業大中功率拖拉機銷量同比下降20.8%。鑑於以上，集團將集中資源聚焦核心業務，加強農機業務，致力農機業務全方位發展，通過加速業務轉型和產品升級，滿足市場需求，增加市場份額，提升集團核心業務競爭力。
由於新疆拖拉機市場本地需求疲軟，加之經營成本不斷提高，新疆裝備公司持續錄得經營虧損。考慮到其經營狀況，近年來新疆裝備公司通過開展物業租賃及物業管理服務以增加收入維持基本經營。考慮到新疆裝備公司前幾年持續虧損並於2019年第二季度全面停止拖拉機業務，董事會認為新疆出售事項對於通過將集團的資源重新部署至其核心業務以優化資源分配屬必要，符合公司的企業戰略。
洛陽西苑主要從事為第三方進行三輪車、低速貨車、汽車(包括特種車輛)、電動車、施工機械、內燃機、農機及其零部件的測試及檢驗。由於洛陽西苑於車輛測試及檢驗方面的業務發展不是公司的核心業務，故洛陽西苑出售事項不影響集團的核心研發能力，且使公司可以將資源重新部署至洛陽拖拉機，而洛陽拖拉機主要專注於自產拖拉機的開發及研究。此外，公司將能夠從洛陽西苑出售事項中獲得可觀收益。
