平安證券集團控股(00231.HK)：1760萬美元優先票據到期日獲延長
格隆匯10月9日丨平安證券集團控股(00231.HK)披露有關其於開曼羣島成立的基金管理業務(即Super Harvest Global Fund SPC("基金"))的最新資料。基金為一項私募基金，為於2018年在開曼羣島註冊成立的有限獨立投資組合公司。基金有兩類已發行股份，分別為每股面值1.00美元的非參與投票不可贖回股份及基金股本中每股面值或票面值0.001美元的無投票權參與股份。於2019年8月31日，基金有一股已發行管理股份及981股已發行參與股份。
透過公司的全資附屬公司SH Asset Management持有一股已發行管理股份，基金於其截至2018年12月31日止年度的綜合財務報表列作集團的附屬公司。SH Asset Management已獲委任為投資經理，以管理基金及有關指定獨立投資組合。儘管上文所述，公司與基金均為獨立法律實體，而由於公司並無於獨立投資組合擁有任何參與股份，故公司於基金並無實益擁有權。
就基金而言，於2019年8月31日，其包括六項子基金(或獨立投資組合)，基金總額約為5173萬美元，其中3635萬美元已投資於公司發行的優先票據。發行優先票據的所得款項3635萬美元已用於發展集團的網上投資平台及移動應用程式及集團向借款人提供的放債業務。
由於集團的放債業務於向借款人收回未償還貸款方面遇到困難；及集團中國發展物業(以長期租賃形式)的預售情況於2019年因市況嚴峻而大幅放緩，因此公司未能償付(惟已預先延遲到期日)本金總額約1760萬美元的優先票據。該等原先已到期的優先票據的到期日已延至2020年7月至10月期間。
由於上述原因，基金的若干獨立投資組合未能於各獨立投資組合的強制贖回日取得正數回報，或甚至退還參與股份持有人所投資的資金。根據有關參與股份的要約文件(包括有關基金的私募配售備忘錄；有關基金各獨立投資組合的補充私募配售備忘錄；及認購參與股份的認購表格)，可合法取得的資金須根據各認購人持有的參與股份數目按比例分派予持有當時已發行及發行在外的參與股份的認購人。在該情況下，參與股份的持有人可能無法收回其全部投資。然而，公司強調，基金投資涉及風險。要約文件已載有明確警告及風險聲明，指明投資參與股份須承受風險，且只適合瞭解所涉及風險及可承受所投資金額大幅或甚至全數損失的成熟投資者。
儘管出現上述情況，公司已致力並將繼續探索公司與基金之間重組債務融資或可得的其他選擇的所有可行性及策略。
