紫金(02899.HK)逾10億人民幣增持艾芬豪礦業 成第二大股東
紫金礦業(02899.HK)公布,向中信金屬非洲公司、Newstar及Friedland收購多倫多上市公司艾芬豪礦業(Ivanhoe Mines Ltd.)合計4,865.22萬股。完成後,公司於艾芬豪礦業持股將由目前9.8%增至13.88%,成為第二大股東。
交易將於今年底前完成交割,交易價格等於以下兩個數較大者︰每股3.98加元;如交割日當日收盤價大於每股3.98加元,則對價應為訂約方協商同意的成交量加權平均價。按每股3.98加元計,收購總金額共計1.94億加元,折合約10.33億人民幣。
艾芬豪礦業主要資產為擁有 39.6%權益的剛果(金)卡莫阿-卡庫拉銅礦、68%權益的剛果(金)基普什鋅多金屬礦和 64%權益的南非普拉特瑞夫鉑族礦三個項目。
