新煮意控股(08179.HK)擬6000萬港元收購葡萄種植及葡萄酒生產業務
格隆匯10月4日丨新煮意控股(08179.HK)公告，於2019年10月4日，公司全資附屬Arrow Vision Limited為買方、公司及賣方週日滔訂立該協議。據此，買方擬收購目標公司Win Everest Holdings Limited全部股份及承接轉讓股東貸款，代價為6000萬港元。
其將以下列方式償付：(i)500萬港元以現金償付；(ii)1764萬港元透過按發行價每股代價股份0.28港元發行及配發6300萬股代價股份方式償付；及(iii)3736萬港元透過發行承兑票據方式償付。據悉，2019年10月4日，公司收市價每股股份0.28港元。
於完成後，集團將於目標公司全部已發行股中擁有權益，而目標公司將成為公司間接全資附屬公司，因此，目標集團財務資料將於公司賬目內綜合入賬。
目標公司為一間於英屬處女羣島註冊成立有限公司，其於緊接完成前由賣方全資擁有。目標公司為一間投資控股公司，而目標集團主要從事為酒莊業務供應自行種植葡萄及提供短期住宿服務，並於澳洲瑪格麗特河地區擁有一個葡萄園。目標集團亦以其身品牌生產酒品。目標集團持有位於澳洲瑪格麗特河地區BussellHighway物業，總佔地面積約為34.0公頃，其為完整酒品生產單元，包括葡萄園、酒品釀製及儲藏設施以及房屋住宿。
該葡萄園種植範圍多元化葡萄品種，包括(i)白蘇維翁(SauvignonBlanc)、霞多麗(Chardonnay)及賽美蓉(Semillion)(按2018年收穫量計合共約佔55%)，其乃用於釀製白酒；及(ii)瑪碧(Malbec)、西拉(Shiraz)、赤霞珠(CabernetSauvignon)、梅鹿(Merlot)及黑皮諾(PinotNoir)(按2018年收穫量計合共約佔45%)，其乃用於釀製紅酒。於2018年，該葡萄園年度收穫量達118噸釀酒葡萄。
目標集團主要向澳洲地酒莊銷售自行種植葡萄。除向酒莊供應自行種植葡萄外，目標集團亦從事釀酒。現時，目標集團釀酒設施每年可處理最多60噸釀酒葡萄及釀製最多48,000瓶750毫升裝酒品。目標集團的酒品均以自營葡萄園中種植葡萄釀製，並於自有品牌標籤Adinfern旗下出售。目標集團提供多款不同口味及風格的酒品，主要為紅酒及白酒，目標為吸引中價市場消費者。
