僑雄國際(00381.HK)持聯營USO 47%股權 不需任何額外投入即擁有12.84億港元資產的發展權益
格隆匯10月3日丨僑雄國際(00381.HK)公佈,公司2015年10月5日公告披露,內容有關公司於2015年10月5日收購USO Management & Holding Co Ltd(“聯營公司”)19%股權。2019年1月23日公告,內容有關公司於2019年1月23日進一步收購USO Management & Holding Co Ltd 28%股權。
薩摩亞政府自然資源和環境部(“該部門”)於2019年10月3日正式向聯營公司發出租賃變更(Variation of Lease),同意租賃物業的土地增加公共、酒店、房地產和商業等用途。該部門同時確認聯營公司與Sasina村族長不需要簽署補充租賃協議。
租賃物業增加公共,酒店,房地產和商業等用途後,可用作發展多元化酒店及渡假村,住宅別墅等業務。根據當地網上最新的商業用地市場價格以及由專業估價師提供的資訊,租賃物業的市場價格約為港幣90萬元一畝。
租賃物業佔地面積500英畝,即大約3035畝,如按上述市場價港幣90萬元一畝計算,價值約為港幣27.315億元。公司持有聯營公司47%股權,在不需要任何額外投入的情況下,即擁有約為港幣12.84億元資產的發展權益,相對於公司投資聯營公司的對價增值大約4倍。租賃物業未來發展會對聯營公司的收益及利潤作出積極貢獻,對集團發展有利,從而使公司及股東整體獲益。
