嘉耀控股(01626.HK)附屬公司湖北金三峽與海南紅塔捲煙等訂立銷售協議
格隆匯10月2日丨嘉耀控股(01626.HK)宣佈，於2019年10月2日，公司附屬公司湖北金三峽與海南紅塔捲煙、湖北中煙、陝西中煙及山東中煙訂立銷售協議。
根據海南銷售協議，湖北金三峽同意向海南紅塔捲煙供應，而海南紅塔捲煙同意為捲煙品牌“雲煙”的一個子品牌及捲煙品牌“紅塔山”的若干子品牌分別按介乎約每件人民幣0.2617元至約每件人民幣0.8828元及約每件人民幣0.2023元至約每件人民幣1.1118元的單價向湖北金三峽採購紙質捲煙包裝，期限為2019年10月2日至2019年12月31日。
根據湖北銷售協議，湖北金三峽同意向湖北中煙供應，而湖北中煙同意為捲煙品牌“紅金龍”的若干子品牌按介乎約每件人民幣0.1385元至每件人民幣0.93元的單價向湖北金三峽採購紙質捲煙包裝，期限為2019年10月2日至2019年12月31日。
根據陝西銷售協議，湖北金三峽同意向陝西中煙供應，而陝西中煙同意為捲煙品牌“好貓”的一個子品牌按介乎約每件人民幣0.2276元至約每件人民幣0.7042元的單價向湖北金三峽採購紙質捲煙包裝，期限為2019年10月2日至2019年12月31日。
根據山東銷售協議，湖北金三峽同意向山東中煙供應，而山東中煙同意為捲煙品牌“哈德門”的若干子品牌按介乎約每件人民幣0.1236元至約每件人民幣0.2523元的單價向湖北金三峽採購紙質捲煙包裝，期限為2019年10月2日至2019年12月31日。
銷售紙質捲煙包裝乃集團日常業務。董事認為湖北金三峽分別向四名對手方銷售紙質捲煙包裝，將確保集團取得穩定收入。
經考慮上述原因並計及：(i)銷售協議乃根據相關產品之競標結果訂立；及(ii)紙質捲煙包裝之售價乃根據各份銷售協議釐定，董事會(包括獨立非執行董事)認為，各份銷售協議乃根據與其他省級中煙工業公司所提供者相若的一般商業條款，於集團的正常及日常業務過程中訂立，且該等交易乃按公平原則磋商，而銷售協議之條款及相關年度上限均為公平合理，並符合公司及其股東之整體利益。
湖北金三峽為於中國成立的有限責任公司，於公告日期由公司及湖北三峽分別間接擁有約82.86%及約17.14%權益。湖北金三峽主要在中國從事紙質捲煙包裝的設計、印刷及銷售，其次是社會產品紙質包裝的設計、印刷及銷售。
湖北三峽於公司的附屬公司湖北金三峽持有約17.14%股權。因此，湖北三峽為湖北金三峽的主要股東，併為公司的關連人士。
經董事作出合理查詢後所深知，湖北省煙草專賣局為湖北三峽的註冊股權持有人，併為中國煙草總公司的附屬公司。因此，根據上市規則第14A.13條，中國煙草總公司為湖北三峽的聯繫人，故為公司的關連人士。湖北省煙草專賣局主要從事銷售煙草產品。
