高陽科技(00818.HK)：Cloopen擬發行E-1系列認股權證 集團所持權益降至24.10%
格隆匯9月25日丨高陽科技(00818.HK)公佈，於2019年9月25日，公司以權益法入賬之一項投資Cloopen及Cloopen的若干附屬公司，包括雲通訊(香港)有限公司及安迅冠通(北京)科技有限公司("安迅")、北京容聯易通信息技術有限公司("北京容聯")(一間透過合約安排由安迅行使控制權並享有經濟利益的公司)，統稱("Cloopen集團"))；創辦股東以及彼等各自之投資控股公司，即Cloopen Co.,Ltd.及Slivo Co.,Ltd.；及一名認購方("E-1系列投資人")及其兩名相關中國投資基金訂立股份及認股權證購買協議。
於同日，投資基金、Cloopen及其若干附屬公司(包括雲通訊(香港)有限公司及安迅、北京容聯)及Cloopen的創辦股東訂立債轉股投資協議。
根據債轉股投資協議，投資基金已同意向北京容聯提供金額相當於1500萬美元的人民幣貸款。根據E-1系列認購協議，E-1系列投資人已同意認購Cloopen一股E-1系列優先股，而投資基金已同意認購將由Cloopen發行的認股權證以按美元金額相當於中國貸款的本金金額之總價認購Cloopen合共611.26萬股E系列優先股。
於完成E-1系列認購協議後，Cloopen將向E-1系列投資人發行E-1系列優先股，Cloopen將向投資基金髮行E-1系列認股權證，而投資基金將向北京容聯提供中國貸款。
於E-1系列認股權證全面行使前，一股E-1系列優先股的持有人將有權享有、行使以及代表認股權證股份所附帶的權利、優先權及特權，猶如E-1系列認股權證已獲全面行使，惟E-1系列投資人或投資基金享有的權利、優先權及特權於任何方面不得重複。
於投資基金已於中國完成境外直接投資的審批程序後，北京容聯將向投資基金償還中國貸款而投資基金將行使由Cloopen發行的E-1系列認股權證，以按購買價格認購認股權證股份。
為加強與投資基金的進一步合作，北京容聯已同意於貴州省貴安新區成立一間全資附屬公司，註冊資本不少於人民幣3000萬元，將於Cloopen收到投資基金行使E-1系列認股權證的行使價後予以支付。
集團並非E-1系列認股權證之認購方。於E-1系列認股權證獲悉數轉換後，Cloopen將已向投資基金(假設根據Cloopen僱員購股權計劃預留以發行予其高級職員、董事、僱員或顧問的25,838,502股Cloopen普通股獲配發及發行)發行合共6,112,570股E系列優先股，相當於Cloopen經擴大已發行股本約2.65%。
於公佈日期及緊接行使E-1系列認購權證前，集團於Cloopen的股本權益中擁有約24.75%權益(假設所有僱員購股權計劃股份獲配發及發行)。於E-1系列認股權證獲行使後，集團於Cloopen擁有的股本權益將約為24.10%(假設所有僱員購股權計劃股份已獲配發及發行)。
緊隨E-1系列認股權證獲行使後，Cloopen集團將仍為公司以權益法入賬之一項投資。
