瑞港建設(06816.HK)擬7135.2萬元收購青島東捷建設工程80%股權
格隆匯9月23日丨瑞港建設(06816.HK)公告,於2019年9月23日,該公司全資附屬青島西發瑞海實業發展有限公司已與賣方(於華毅、牟文樂、牟麗萍、邴起宏、丁培增、王金升、董良玉、國得義、季進亮、楊麗紅、程顯祥、孫艦、孫曉林、郭立敏及李衝)及目標公司青島東捷建設工程有限公司訂立買賣協議,內容有關以總代價人民幣7135.2萬元收購目標公司80%股權。
完成事項後,買方將於目標公司的80%股權中擁有權益。因此,目標公司將成為公司的間接非全資附屬公司。
買方(即青島西發瑞海實業發展有限公司)於中國成立且由公司全資擁有。買方主要從事外商投資、市政工程建設、園林綠化工程的設計及建設、道路建設、地基與基礎工程建設、土石方工程建設、橋樑工程建設、文化藝術交流活動策劃、生態觀光旅遊項目開發、經營及管理以及房地產開發。
目標公司主要從事樓宇建設、建築地基、園林綠化工程、園林景觀工程、文物保護工程、房地產開發業務、建材批發、建築物拆除活動、管道工程(不含壓力管道)、道路建設、水利水電工程建設、電力工程建設、市政公用工程建設、機電工程建設、起重設備安裝工程、消防設施工程、防水防腐保温工程、鋼結構工程及建築機電安裝總承包。
董事一直在檢討集團的現有業務,並尋求投資機會以多元化集團現有業務組合及拓闊其收入來源。集團目前並無持有任何資質及╱或牌照,以於中國從事工程及╱或建築運營,且獲取有關資質及╱或牌照的過程頗為耗時。董事知悉,中國山東省大青島區存在大量建築業務機遇且大部分董事擁有與該地區私營及公營界別基礎設施及物業項目開發商合作的經驗。
董事認為,目標公司乃具有良好聲譽的合法及合資格建築公司且收購事項乃集團尋求業務發展機遇的合理步驟。此外,董事認為,收購事項乃集團進軍中國建築市場的良機,特別是考慮到目標公司的現有資質及牌照、行業知識、於中國已建立的客户羣及供應商網絡以及管理團隊,董事認為收購事項將產生協同效應及使得集團可於大青島區以高效及有效的方式抓住商機。
