中國罕王(03788.HK)擬5600萬至6500萬澳元要約收購澳洲新金礦項目
格隆匯9月23日丨中國罕王(03788.HK)公佈，於2019年9月23日，本公司附屬公司Hanking Australia InvestmentPty Ltd（罕王澳洲投資）已提出一份非約束性指示性現金要約，向一家於澳大利亞上市的礦業公司Focus Minerals Limited收購Coolgardie金礦項目的100%權益。非約束性指示性現金要約的總對價為5,600萬至6,500萬澳元，其中首付款為1,200萬澳元，餘額將在收購完成後的3.5年內分期支付。
據悉，FML的Coolgardie金礦項目（目標項目）與本公司位於Coolgardie的McPhersons金礦項目相鄰，距離西澳大利亞州卡爾古利市和機場約30公里。世界聞名的卡爾古利－Coolgardie地區是澳大利亞最早也是最重要的黃金產區之一。
目標項目包括約235平方公里的採礦和探礦權、一座年處理能力為120萬噸礦石的黃金選礦廠。目標項目一直進行黃金生產，直到2013年8月進入停產維護狀態。目標項目的礦權區有符合澳大拉西亞聯合礦石儲量委員會資源標準資源量約210萬盎司黃金，包括可露天和地下開採的金礦牀。
罕王Coolgardie項目的開採已獲所有許可，目標項目的選礦廠經過整修復產後，能夠為兩個項目提供所需的礦石處理產能。成功收購目標項目預期將會實現兩個相鄰項目之間的協同效應以及規模經濟，並延長礦山壽命，從而極大地使本公司、FML及其他利益攸關方受益。
公司稱，鑑於本公司已於2018年收購作為Primary Gold Limited（澳大利亞證券交易所交易代碼：PGO）中一部分的罕王Coolgardie項目以及於2013年收購南十字金礦項目時，均獲得了澳大利亞外國投資審查委員會的審批，因此，預計獲得澳大利亞外國投資審查委員會的審批僅是一項程序上事項。
