西部水泥(02233.HK)成立莫桑比克合資以建設水泥生產線 佈局國際特種水泥市場
格隆匯9月20日丨西部水泥(02233.HK)宣佈，於2019年9月20日，公司間接全資附屬西部國際、CIF-MOZ、OceanicStar及Guhava訂立合作協議，據此，眾訂約方同意於莫桑比克成立合資公司，以進行聯合投資及建設水泥生產線。
根據合作協議，CIF-MOZ、西部國際、OceanicStar及Guhava應向合資公司的註冊資本分別出資2100萬梅蒂卡爾(約人民幣231萬元)、6000萬梅蒂卡爾(約人民幣6600萬元)、1400萬梅蒂卡爾(約人民幣1540萬元)及500萬梅蒂卡爾(約人民幣55萬元)。此外，CIF-MOZ應以出資資產向合資公司出資。CIF-MOZ、西部國際、OceanicStar及Guhava將分別持有合資公司21%、60%、14%及5%的股權。
於公佈日期，雖然水泥生產線的大部分建設工程已經完成，但施工因缺乏營運資金而暫停。根據合作協議，經主管部門批准，西部國際應向合資公司提供股東貸款以撥資水泥生產線的餘下建設工程。由西部國際提供的股東貸款金額應為5000萬美元(約人民幣3.535億元)，並應在合營公司需要時分批提供。
於水泥生產線投產後，憑藉CIF-MOZ在莫桑比克的業務經驗及關係，其將負責水泥產品銷售市場的開發、向莫桑比克政府當局辦理通關、設備及材料的進口手續、外國勞工簽證及配額，並收取服務費。於水泥生產線完成施工前，合資公司將與CIF-MOZ或CIF-MOZ指定的公司訂立服務合約。
莫桑比克天然氣已探明儲量達200萬億立方英尺，並於莫桑比克德爾加杜角省北部近海區域發現大量的天然氣儲量，主要分佈在北部魯伍馬盆地和中部莫桑比克盆地沿海地區。普遍預期莫桑比克將最終成為世界第四或第五大天然氣生產國。當此等氣田大規模開發時，將大大推動莫桑比克北方三省特別是德爾加杜角省的經濟發展，從而帶動此等天然氣氣田對特種水泥的市場需求，同時也會促使基礎設施建設的投資，水泥需求將會持續向好。
考慮到莫桑比克現有國內水泥供需缺口的現狀，以及上文所述預期莫國德爾加杜角省北部和中部莫桑比克盆地氣田開發所帶動的特種水泥市場需求，此次投資建設的莫桑比克南部中規模的乾法水泥生產線將能提高水泥市場集中度和主導地位。這亦標誌着集團進入國際特種水泥市場的戰略佈局，有助公司有效地分散地理投資風險。
