西部水泥(02233.HK)成立莫桑比克合资以建设水泥生产线 布局国际特种水泥市场
格隆汇9月20日丨西部水泥(02233.HK)宣布，于2019年9月20日，公司间接全资附属西部国际、CIF-MOZ、OceanicStar及Guhava订立合作协议，据此，众订约方同意于莫桑比克成立合资公司，以进行联合投资及建设水泥生产线。
根据合作协议，CIF-MOZ、西部国际、OceanicStar及Guhava应向合资公司的注册资本分别出资2100万梅蒂卡尔(约人民币231万元)、6000万梅蒂卡尔(约人民币6600万元)、1400万梅蒂卡尔(约人民币1540万元)及500万梅蒂卡尔(约人民币55万元)。此外，CIF-MOZ应以出资资产向合资公司出资。CIF-MOZ、西部国际、OceanicStar及Guhava将分别持有合资公司21%、60%、14%及5%的股权。
于公布日期，虽然水泥生产线的大部分建设工程已经完成，但施工因缺乏营运资金而暂停。根据合作协议，经主管部门批准，西部国际应向合资公司提供股东贷款以拨资水泥生产线的余下建设工程。由西部国际提供的股东贷款金额应为5000万美元(约人民币3.535亿元)，并应在合营公司需要时分批提供。
于水泥生产线投产后，凭藉CIF-MOZ在莫桑比克的业务经验及关系，其将负责水泥产品销售市场的开发、向莫桑比克政府当局办理通关、设备及材料的进口手续、外国劳工签证及配额，并收取服务费。于水泥生产线完成施工前，合资公司将与CIF-MOZ或CIF-MOZ指定的公司订立服务合约。
莫桑比克天然气已探明储量达200万亿立方英尺，并于莫桑比克德尔加杜角省北部近海区域发现大量的天然气储量，主要分布在北部鲁伍马盆地和中部莫桑比克盆地沿海地区。普遍预期莫桑比克将最终成为世界第四或第五大天然气生产国。当此等气田大规模开发时，将大大推动莫桑比克北方三省特别是德尔加杜角省的经济发展，从而带动此等天然气气田对特种水泥的市场需求，同时也会促使基础设施建设的投资，水泥需求将会持续向好。
考虑到莫桑比克现有国内水泥供需缺口的现状，以及上文所述预期莫国德尔加杜角省北部和中部莫桑比克盆地气田开发所带动的特种水泥市场需求，此次投资建设的莫桑比克南部中规模的乾法水泥生产线将能提高水泥市场集中度和主导地位。这亦标志着集团进入国际特种水泥市场的战略布局，有助公司有效地分散地理投资风险。
