紫光控股(00365.HK)67.82%股权易手中青芯鑫 触技术全购
格隆汇9月17日丨联合要约人中青芯鑫及芯鼎与紫光控股(00365.HK)联合公布，于2019年9月17日，公司获控股股东紫光科技通知，其于2019年9月17日，与芯鼎及北京紫光资本订立股份购买协议。据此，芯鼎同意有条件地向紫光科技收购9.87亿股(占公司已发行股本约67.82%)，总对价为9.90亿港元。
完成后，联需按例提出无条件强制性现金要约。每股要约价现金1.01港元，较股份于最后交易日期在联交所所报收市价每股1.72港元折让约41.28%。
联合要约人有意根据股份购买协议及要约收购公司的多数权益。联合要约人的意向是将维持公司现有的主要业务，即SMT装备制造及相关业务，并且联合要约人将协助公司回顾其业务及财务状况，以寻求通过处置现有主要业务之外某些业务，以精简公司资源及业务结构，以及扩展至其他半导体相关业务的机会。尽管有以上表述，联合要约人暂未明确任何投资或商业机会，亦未与任何第三方就集团资产或业务注入或出售进行任何讨论或协商。
联合要约人无意对集团的现有营运及业务作出重大变动，包括重新调配除日常业务流程以外的固定资产。除联合公告所述对董事会组成的建议变动外，联合要约人并无计划终止雇用集团任何其他雇员或其他人员，或于要约完成后，对集团管理层作出任何重大变动。然而，根据有关集团业务及财务状况的审阅结果，联合要约人保留权利对集团的业务及营运作出其认为必要或适当的任何变动，以增加集团的价值。
芯鼎，联合要约人之一，是一间于2017年2月24日在中国香港注册成立的有限公司，其设立目的为投资控股，并由上海青芯(其由中青芯鑫持有50.1%权益、上海半导体装备材料基金持有28.0%权益，及河南战兴基金持有21.9%权益)全资拥有。
中青芯鑫，另一位联合要约人，是一间于2016年7月27日在中国内地注册成立的有限公司，其主要从事投资控股。
