中国中铁(601390.SH)发行股份购买资产之标的资产过户完成
格隆汇9月12日丨中国中铁(601390.SH)公布，公司拟通过发行股份方式购买中国国新控股有限责任公司等9名交易对方持有的中铁二局集团有限公司(“中铁二局”，原名为中铁二局工程有限公司)25.32%股权、中铁三局集团有限公司(“中铁三局”)29.38%股权、中铁五局集团有限公司(“中铁五局”)26.98%股权、中铁八局集团有限公司(“中铁八局”)23.81%股权(以下合称“标的资产”)。
此次交易已于2019年5月29日取得中国证监会下发的《关于核准中国中铁股份有限公司向中国国新控股有限责任公司等发行股份购买资产的批复》(证监许可[2019]913号)。
2019年9月11日，经成都市市场监督管理局核准，中铁二局25.32%股权过户至中国中铁的工商变更登记已办理完成，中铁二局取得成都市市场监督管理局换发的《营业执照》（统一社会信用代码：91510100MA61RKR7X3）。此次工商变更登记完成后，公司持有中铁二局100%股权，中铁二局成为公司全资子公司。
2019年9月10日，经山西省市场监督管理局核准，中铁三局29.38%股权过户至中国中铁的工商变更登记已办理完成，中铁三局取得山西省市场监督管理局换发的《营业执照》(统一社会信用代码：91140000110104513E)。此次工商变更登记完成后，公司持有中铁三局100%股权，中铁三局成为公司全资子公司。
2019年9月11日，经贵州省市场监督管理局核准，中铁五局26.98%股权过户至中国中铁的工商变更登记已办理完成，中铁五局取得贵州省市场监督管理局换发的《营业执照》(统一社会信用代码：91520000214400165L)。此次工商变更登记完成后，公司持有中铁五局100%股权，中铁五局成为公司全资子公司。
2019年9月10日，经成都市市场监督管理局核准，中铁八局23.81%股权过户至中国中铁的工商变更登记已办理完成，中铁八局取得成都市市场监督管理局换发的《营业执照》（统一社会信用代码：91510100201973538N）。此次工商变更登记完成后，公司持有中铁八局100%股权，中铁八局成为公司全资子公司。
