中裕燃气(03633.HK)拟1.5亿元收购河南天然气资产以提升市场份额
格隆汇9月12日丨中裕燃气(03633.HK)公布，于2019年9月12日，公司全资附属中裕城市能源投资控股（深圳）有限公司拟向相关卖方购买郑州益之泉89.5%股权及濮阳天润燃气10%股权，总代价为人民币1.15亿元；及中裕城市能源投资控股（深圳）有限公司拟向相关卖方购买沣源天然气全部股权，总代价为人民币3600万元。
于股权转让协议日期，郑州益之泉于濮阳天润燃气66.67%股权中拥有权益。于收购完成后，买方将于郑州益之泉89.5%股权中拥有权益及（直接及透过郑州益之泉间接）于濮阳天润燃气76.67%股权中拥有权益。
据悉，濮阳天润燃气为一家集天然气采购、储运及销售、天然气管网及配气站建设及运营为一体的专业天然气项目营运公司。濮阳天润燃气于2018年5月18日与濮阳县公用事业局订立濮阳县城镇管道燃气特许经营协议，据此，濮阳天润燃气获许可为濮阳县产业集聚区管辖范围内的工业用户供应天然气，为期15年。濮阳天润燃气拥有3个配气站、约24公里高压管道、6公里次高压管道及23公里中压管道。濮阳天润燃气现有62名工业用户，主要经营石油化工、玻璃制品、耐火材料等制造业。经营区域内行业集中度高，客户规模大而且生产稳定。于2018年，濮阳天润燃气天然气销量约12,223万立方米。
沣源天然气为一家专业天然气项目公司，其于2012年已与濮阳县人民政府订立天然气供应特许经营协议，范围涵盖8个乡镇，自2012年2月11日起生效，为期30年。沣源天然气拥有2个气源门站、5个调压站及1个加气站，其中压管网总长451.3公里。沣源天然气拥有约49,600名住宅用户、132名商业及公共用户以及23名工业用户。于2018年，沣源天然气燃气销量达约1,769万立方米。濮阳市下一步重点是打造新型化工基地，集团对区内未来工业用户气量增长感乐观。
公司称，濮阳县位于河南省东北部，是中原油田开发建设的腹地。濮阳县注重环境保护，地方政府已持续推出大气污染防控工作计划，并提供补贴，以有效促进该地区煤改气业务及工业用户的发展。上述收购可同时为集团开拓来自中石化的新气源（濮阳天润燃气及沣源天然气现时由中石化供应管道气）。2020年前，中石化将在濮阳县建设库容为556亿立方米的国内最大的储气库群。
监于濮阳天润燃气及沣源天然气于濮阳县的现有项目及许可证，本公司董事认为收购本公布所披露的燃气公司可透过拓阔客户基础，使濮阳天润燃气及沣源天然气目前经营的项目与本集团现有项目之间产生协同效应，并提升本集团于河南省的市场份额。
