万辉化工(01561.HK)拟收购一家信息数据服务企业约30.89%股权 拟更名为"联洋智能控股"
格隆汇9月10日丨万辉化工(01561.HK)公告，于2019年9月10日，公司、目标公司Lian Yang Guo Rong Holdings Limited、营运公司联洋国融(北京)科技有限公司、卖方(FHJL Investment Limited、An Chen New Technology Holding Ltd、Lian Yang Investment Limited)及担保人订立股份购买及认购协议。
据此，受限于及根据股份购买及认购协议的条款及条件，(i)卖方将作为实益拥有人出售而公司将购买目标公司(Lian Yang Guo Rong Holdings Limited)15%股份(概不附带一切产权负担，自完成日期后生效)，代价为人民币4500万元，将由公司按发行价每股代价股份2.85港元向卖方配发及发行代价股份予以结算；及(ii)目标公司将配发及发行而公司将认购认购股份(概不附带一切产权负担，自完成日期后生效)，认购价为人民币6900万元，将由公司以现金结算。
代价股份将根据一般授权予以配发及发行。公司将于适当时向联交所申请批准代价股份上市及买卖。完成后，公司将持有目标公司已发行股约30.89%，且目标公司将作为公司的联营公司(定义见相关会计准则)入账。
目标公司为持有BVI国融全部已发行股份投资控股公司。BVI国融为香港国融全部股权实益拥有人，而香港国融为国融外商独资企业全部股权实益拥有人。控股公司集团将透过(其中包括)与营运公司及中国股权拥有人订立结构合约而进行集团重组，籍此目标公司将对营运公司管理及营运拥有间接控制权。
营运公司主要从事大数据挖掘、建模及整体分析的开发，以及提供零售金融服务的数字风险管理服务。目标公司、香港国融、BVI国融、国融外商独资企业、营运公司、卖方甲、卖方乙、卖方丙及公司将订立股东协议，自完成日期起生效，内容有关(其中包括)目标公司的管理权及控制权。
此外，董事会建议将公司英文名称由"Manfield Chemical Holdings Limited"变更为"Pan Asia Data Holdings Inc."，并将公司双重外文名称中文由"万辉化工控股有限公司"变更为"联洋智能控股有限公司"，反映公司寻求信息技术行业适当机会追求。
