鞍钢股份(000898.SZ)拟委托鞍钢北京研究院开展9项技术开发项目
格隆汇9月10日丨鞍钢股份(000898.SZ)公布，为了提高基础、前沿和引领技术研发水平，提升公司科技创新引领力，公司确立了9项技术开发课题。因公司现阶段不具备独立开发条件，拟委托鞍钢北京研究院开展9项技术开发课题的研发。委托技术开发费合计为约人民币1.98亿元。
此次交易对方鞍钢北京研究院是公司的实际控制人鞍钢集团有限公司(“鞍钢集团”)的控股子公司。因此，鞍钢北京研究院与公司构成关联关系，此项交易构成关联交易。
协议显示(协议方：公司(甲方)、鞍钢北京研究院(乙方)):(1)技术开发(委托)合同一:研发内容：根据合同，公司将委托鞍钢北京研究院进行高强海工钢集成计算的研发。技术开发费总额为人民币3702万元(含税)。(2)技术开发(委托)合同二:研发内容：根据合同，公司将委托鞍钢北京研究院进行海工与船舶用钢服役性能测试与评价技术的研究。技术开发费总额为人民币1097万元(含税)。(3)技术开发(委托)合同三:研发内容：根据合同，公司将委托鞍钢北京研究院进行高品质复合板关键技术及服役性能的研究。技术开发费总额为人民币1954万元(含税)。(4)技术开发(委托)合同四:研发内容：根据合同，公司将委托鞍钢北京研究院进行新型焊接技术在高强海工钢的应用研发。技术开发费总额为人民币1923万元(含税)。(5)技术开发(委托)合同五:研发内容：根据合同，公司将委托鞍钢北京研究院进行高强热成型零部件的研发。技术开发费总额为人民币2033万元(含税)。(6)技术开发(委托)合同六:研发内容：根据合同，公司将委托鞍钢北京研究院进行高强钢产品的研发及应用。技术开发费总额为人民币2905万元(含税)。(7)技术开发(委托)合同七:研发内容：根据合同，公司将委托鞍钢北京研究院进行新型轻质钢的研发。技术开发费总额为人民币2338万元(含税)。(8)技术开发(委托)合同八:研发内容：根据合同，公司将委托鞍钢北京研究院进行新型电磁搅拌技术的研发及应用。技术开发费总额为人民币1987万元(含税)。(9)技术开发(委托)合同九：研发内容：根据合同，公司将委托鞍钢北京研究院进行基于气相反应的高炉焦炭熔损机理研究技术开发。技术开发费总额为人民币 1,862万元(含税)。
鞍钢北京研究院是鞍钢集团下属的具有前瞻性的技术研发平台，具有较高的科研定位，在钢铁材料技术研究、新材料计算设计、工艺模拟技术等领域具有较强的科研实力。上述科研项目研发成功将极大提升公司基础研发水平，使公司保持目前造船和海洋工程等领域的领先水平，拓展新能源汽车、高品质复合板等新一代新材料领域引领能力，开发未来钢铁冶炼颠覆性工艺技术，为公司提升科技研发水平、产品竞争力和未来盈利能力提供强有力支撑。
此次关联交易是按一般商务条款进行，协议条款内容公平合理，符合公司及公司股东的利益，不会损害非关联股东及中小股东的利益。
