传递娱乐(01326.HK)拟9600万元收购杨超越经纪公司60%权益
格隆汇9月10日丨传递娱乐(01326.HK)公布，于2019年9月10日，公司附属公司广州戴德拟收购目标公司闻澜(上海)文化传媒60%权益，总代价合共为人民币9600万元，同时获授出认购期权以购买目标公司余下40%权益。
同日，广州戴德、该等卖方与目标公司亦订立溢利保证协议，据此，待完成后，卖方二及卖方四向广州戴德承诺，溢利保证期间的溢利总额将不少于人民币7000万元。
目标公司为于上海成立的有限公司，主要从事策划文化及娱乐活动、演出经纪人及培训音乐乐队业务。于2016年，目标公司为音乐乐队团体CH2女团的委任经理人，当中杨超越为主要成员。杨超越为中国的青少年偶像，并与目标公司签订艺人管理合约。参与名为创造101的腾讯女团选秀节目后，彼出道成为火箭少女101的成员，并获选为影响中国2018年度演艺人物。
集团致力于实现品牌创制一体、多元化发展战略目标，并以优质内容创作团队、优秀的艺人人才矩阵以及精良的影视综作品为基础，积极探索并研发打造自主品牌，通过艺人版图的拓展和红人营销市场的不断深耕，探索多元化变现模式，为集团创造更多经济价值。此次收购事项将令集团业务版图由纵深向横向扩充，扩展至中国影视文化领域蓬勃发展的偶像潮流团体行业，获得目标公司持有的营业性演出许可证，此举将极大提升集团的商业价值及品牌影响力。此外，认购期权将鼓励卖方二及卖方四继续提升目标公司的价值，从而为本集团在泛娱乐消费领域创造更为广阔的发展空间。
集团将继续夯实集团现有业务基础，以优质影视综制作、发行、授权、后期制作为根基，积极开拓影视传媒行业全新的发展机遇，特别是沿着产业链上、下游及从旁衍生的合作机会，不断扩充艺人版图、红人矩阵及影视综版权体量，紧跟用户热度挖掘、培育全新的年轻品牌，并在用户互动基础上，不断反覆运算升级，持续提升集团的商业价值和盈利能力，为股东带来更为理想的回报。
