海天地悦旅(01832.HK)与洲际酒店集团签订与关岛酒店有关的酒店管理协议
格隆汇9月10日丨海天地悦旅(01832.HK)宣布，于2019年9月10日，公司的间接全资附属APHI Guam与IHC Hotel(洲际酒店集团(其股份于纽约证券交易所及伦敦证券交易所双重上市)的间接全资附属公司及作为经办人及授权人行事的独立第三方)订立与关岛酒店(现称"Fiesta Resort Guam")有关的酒店管理协议。
根据该协议，IHC Hotel同意(其中包括)(1)于酒店管理协议期限内，自开始日期(现预期为2019年10月31日前)起提供酒店管理服务并管理及经营关岛酒店；(2)自开始日期起向关岛酒店提供由经办人(或其联属人士)管理及经营的全球预订系统及忠诚度计划之使用权；及(3)代表APHI Guam实施开业前计划及品牌重塑计划，为关岛酒店品牌重塑及自品牌重塑日期(现预期为2021年10月1日前)起根据授权人所授予的权限，作为"Crowne Plaza Guam"营运作必要的实际准备。IHC Hotel(或其联属人士)将就经办人酒店管理服务及授权人所授予的权限收取酒店管理协议规定的费用及分摊费。
集团现时拥有、经营及自行管理关岛酒店。自开始日期起，经办人将负责关岛酒店的日常管理及经营，并将促使关岛酒店使用经办人(或其联属人士)管理及运营的全球预订系统及忠诚度计划经营。根据酒店管理协议，APHIGuam将保留其作为酒店拥有人作出若干关键管理、财务及策略决定的权利。
凭藉洲际酒店集团丰富的酒店管理经验、会员计划及忠诚客户群，加上日本、美国大陆及美军客户(关岛的主要游客)对"Crowne Plaza"品牌的认可，董事预计，从长远来看，酒店管理协议的商业裨益大於应付IHC Hotel(或其联属人士)的费用及分摊费，增加关岛酒店的收益来源，最终增强其房租控制及盈利能力。董事亦认为，酒店管理协议符合招股章程所披露本集团为提高酒店及度假村分部平均房租及实现更高的收益增长之详细业务策略。
关岛酒店资产优化计划目前按招股章程所述方式进行，惟(1)估计资本开支总额现预计约为2,560万美元(约增加520万美元)；及(2)资产优化计划现预期进行18至24个月(增加6个月)，主要是由于景观升级、餐饮基础设施及功能设施的投入增加。资产优化计划将并入开业前计划及品牌重塑计划，确保关岛酒店贯彻"Crowne Plaza"品牌标准。增加的估计资本开支将以集团内部资源提供资金，因此，招股章程披露的全球发售所得款项用途不变。
然而，董事目前估计，关岛酒店截至2020年12月31日止财政年度的收益及溢利将有所减少，是由于以下因素综合所致：(1)资产优化计划、开业前计划及品牌重塑计划产生的估计资本开支；(2)进行资产优化计划、开业前计划及品牌重塑计划期间对出租率及平均房租的影响；(3)根据酒店管理协议应付IHC Hotel(或其联属人士)的费用及分摊费；及(4)经办人的管理及营运需要经历投入阶段。
