伊利调整股权激励方案 承诺每年分红不低于70%

伊利股份(600887.SH)此前抛出的高层股票激励方案引发市场非议,日前,这家龙头乳企又修改出了一份更有诚意的方案。

9月6日,伊利股份公告披露一份新的股票激励计划。新方案显示,伊利股份拟在2019年至2023年间,向484名高管及骨干授予1.52亿股限制性股票(占总股本2.5%),授予价格为每股15.46元。

与8月5日公布的上一版方案相比,新方案将激励对象由474名增加至480名;股票激励总数由3%下调至2.5%。

新激励方案主要针对行权条件做了调整。原方案的基础上,新方案将净资产收益率的考核指标从“不低于15%”上调至“不低于20%”,并新增了每年现金分红比例不低于70%的指标;净利润指标则不变,2019-2023年扣非净利润增长率仍然分别为8%、18%、28%、38%、48%。

值得注意的是,伊利用来股票激励的股票系来自其从二级市场回购的股票。今年5月至7月期间,伊利累计回购了1.83亿股,成交均价为每股31.67元,总计耗资约58亿。股票激励方案修改后,其回购股权的用途也同时做了调整,即将其中的1.52亿股股票用于股票激励,剩余约3050万股则注销以减少注册资本。

伊利股份此前股票激励方案主要是面向公司高管,被外界质疑激励金额高且业绩解锁目标低。激励方案公布后,伊利股价一度大跌。

市场压力之下,修改后的新方案兼顾了激励对象、上市公司及股东三方的利益,显得更有诚意一些。此外,3050万股股票被注销后,伊利股份总股本减少,股东的每股收益因此提高,同时连续五年的高分红率及高净资产收益率等指标也保障了股东长期利益。

从股权结构来看,此次股票激励再一次巩固了潘刚系管理层的控制权。根据股票权激励方案,伊利董事长潘刚获得5066万股限制性股票,是所有激励对象中获得比例最高的,获得股数占当前总股本的0.8309%。截至今年6月底,潘刚持有伊利股份3.87%的股权,为第三大股东。

伊利股份去年实现795亿营收、64亿利润。今年上半年,伊利营收达到450亿元,较上年同期增长12.84%;净利润37.98亿元,较上年同期增长9.51%。

相比之下,伊利竞争对手蒙牛乳业(2319.HK)虽然规模上仍略弱于伊利,但在净利增速远超伊利。今年上半年,蒙牛实现营收近400亿,净利润20.77亿,同比分别增长15.6%和33%。
