雄岸科技(01647.HK)拟与美国大麻公司于美国设合营发展工业大麻业务
格隆汇9月9日丨雄岸科技(01647.HK)公布，于2019年9月7日，本公司与Libosoils LLC订立战略合作框架协议。根据该协议，本公司及Libosoils拟于美国成立一间合营公司以共同发展工业大麻业务，本公司将占合营公司不少于70%股权。
合营公司将(i)通过直接投资、合作或收购等方式，使合营公司在美国俄勒冈州拥有大麻二酚（CBD）年产量不低于25吨的提取加工工厂；及(ii)合营公司将与俄勒冈州当地农户及政府建立良好关系，推进工业大麻在俄勒冈州的种植和加工的产能和质量，建立更好的原材料基础；及(iii)积极向全球推广合营公司的CBD产品。
在合作安排上，根据该协议本公司及Libosoils拟(i)于2019年10月初共同成立合营公司，然后Libosoils会将其拥有与工业大麻稙植及加工等相关的资质全部转移至合营公司；及(ii)于2019年10月内，按CBD提取加工工厂的筹建情况及资金需求安排第一笔投资资金到位，及后亦将根据项目的发展情况，适时安排投资资金到位直至建设投产完毕；及(iii)在第一笔投资资金到位后，Libosoils力争在2个月内取得俄勒冈州当地进行CBD萃取加工、销售及工厂建筑等相关资质，并于3个月内完成整体建设并开始测试营运。Libosoils将负责项目的生产管理、员工培训及建立完善的生产管理体系。
本协议为期5年，在合作期间本公司将作为Libosoils在俄勒冈州CBD提取加工工厂项目的唯一合作伙伴。
据悉，Libosoils为一间于2015年成立的公司，为美国俄勒冈州当地知名的工业大麻种稙及加工企业，已取得俄勒冈州工业大麻种植及加工的资质，在工业大麻种植和萃取领域有着丰富的管理及营运经验。目前Libosoils拥有9个农场合计可供工业大麻种植的土地面积约为3000亩，并计划与俄勒冈州当地农户合作逐步拓展种植面积至100,000亩以上，其所种植的工业大麻的CBD平均含量超过13%，而Libosoils已为CBD提取加工工厂项准备了部分土地、厂房及设备。
董事会认为，监于本集团及Libosoils各自的实力、资源及专业知识，建议合作预期将有助本集团进一步扩展其工业大麻相关业务，并为本集团带来长远价值。
