山东墨龙(00568.HK)：联交所谴责公司财务违规及批评公司多名前董事及高管
格隆汇9月6日丨山东墨龙(00568.HK)公告，香港联合交易所有限公司上市委员会谴责：该公司违反了《香港联合交易所有限公司证券上市规则》第2.13(2)条，未能确保以下文件所载的该公司财务资讯在各重要方面均准确完备且没有误导或欺诈成份；并谴责公司前执行董事及董事长张恩荣先生、公司前执行董事及副董事长张云三先生、公司前执行董事及财务总监杨晋先生、公司前执行董事及董事长国焕然先生、公司前非执行董事郭洪利先生、公司前非执行董事及独立非执行董事王春花女士、公司前执行董事林福龙先生；并批评公司前非执行董事约翰?保罗?卡梅伦、公司前非执行董事肖庆周先生、公司前独立非执行董事秦学昌先生，违反了《董事承诺》所载的责任，没有尽力遵守适用的中国法律和规则，也没有尽力制订向张恩荣先生汇报该公司事务及运作、使其可履行董事职责的适当及足够程序。
联交所并谴责该公司前监事张九利先生、公司前监事郝亮先生、公司前监事樊仁意先生，违反了各人以《上市规则》附录五I表格所载形式向联交所作出的《在中国注册成立的发行人的监事的声明及承诺》所载的责任，没有尽力遵守适用的中国法律和规则，也没有尽力促使该公司及相关董事遵守《上巿规则》。
上市委员会于2019年7月3日就该公司、相关董事及相关监事的行为是否符合《上市规则》、《董事承诺》及《监事承诺》所载责任进行聆讯。
据悉，该公司曾多次修订2015年披露和2016年披露的内容。2015年披露及2016年披露均欠准确，两者所载的财务资料均与实际金额有明显分别。鉴于2015年披露和2016年披露含有虚假纪录，中国证券监督管理委员会裁定该公司、相关董事和相关监事违反了《中华人民共和国证券法》。
鉴于2016年披露中的重大会计错误及该公司内部监控的严重缺失及其他原因，深圳证券交易所裁定该公司、张恩荣先生、张云三先生、杨先生、国先生、郭先生、王女士、郝先生及张九利先生违反了深交所的规则。
经裁定上述违规事项后，上市委员会决定：(1)公开谴责该公司违反《上市规则》第2.13(2)条；(2)公开谴责张恩荣先生、张云三先生、杨先生、国先生、郭先生、王女士、林先生、张九利先生、郝先生及樊先生。有关张恩荣先生，联交所认为，若他仍留任该公司的董事，将会有损投资者的利益；(3)公开批评Cameron先生、肖先生及秦先生。
