格隆汇9月6日丨长城汽车(601633.SH)发布2019年限制性股票与股票期权激励计划(草案)，拟授予激励对象权益总计18509.13万份，涉及的标的股票种类为A股普通股，约占公告时公司股份总数的2.028%。
其中首次授予权益总数14807.30万份，占本激励计划拟授出权益总数的80%，约占公告时公司股份总数的1.622%；预留3701.83万份，占本激励计划拟授出权益总数的20%，约占公告时公司股份总数的0.406%。
公司全部有效期内股权激励计划所涉及的标的股票总数累计未超过公司股份总数的10%。本激励计划中任何一名激励对象通过全部有效期内的股权激励计划获授的公司股票数量未超过公司股份总数的1%。
其中，限制性股票激励计划：拟授予激励对象限制性股票7368.24万份，涉及的标的股票种类为A股普通股，约占公告时公司股份总数的0.807%，其中首次授予5894.59万份，占本激励计划拟授出限制性股票总数的80%，约占公告时公司股份总数的0.646%；预留1473.65万份，占本激励计划拟授出限制性股票总数的20%，约占公告时公司股份总数的0.161%。
股票期权激励计划：拟授予激励对象股票期权11140.89万份，涉及的标的股票种类为A股普通股，约占公告时公司股份总数的1.221%，其中首次授予8912.71万份，占本激励计划拟授出股票期权总数的80%，约占公告时公司股份总数的0.976%；预留2228.18万份，占本激励计划拟授出股票期权总数的20%，约占公告时公司股份总数的0.244%。本计划下授予的每份股票期权拥有在满足生效条件和生效安排的情况下，在可行权期内以行权价格购买1股公司A股普通股股票的权利。
激励计划授予的限制性股票的授予价格为4.12元/股，股票期权的行权价格为8.23元/股。
本激励计划首次授予的激励对象总人数共计1928人，包括公司公告本激励计划时在公司任职的董事、高级管理人员、核心技术人员或核心业务人员。不含独立董事、监事、单独或合计持股5%以上的股东或实际控制人及其配偶、父母、子女。
