亚太资源(01104.HK)：继续寻求委任公司执董Smith加入MLX董事会
格隆汇9月5日丨亚太资源(01104.HK)公布，公司全资附属亚太资源策略于2019年9月3日透过其代名人新鸿基投资服务有限公司持有Metals X Limited(“MLX”)(为一间于澳洲注册成立并于澳交所上市的公司)8.8%的股份。亚太资源透过其全资附属公司自2007年起成为MLX股东。
MLX股价自其于2016年收购Aditya Birla Minerals Limited(“ABY”)(其拥有Nifty铜矿场)起大幅下跌。Nifty于过去三年使MLX产生1.43亿澳元的成本，而产量下跌59%及成本上升31%，且几乎没有证据显示情况将会好转。亚太资源相信，MLX仍存在巨大价值，当中主要为Renison锡矿场，惟须成立全新的独立董事会审阅Nifty业务的情况。
于2019年8月30日及2019年9月2日，亚太资源策略向MLX发出通知，要求MLX董事召开MLX股东大会，以罢免MLX主席Peter Newton及MLX非执行董事Milan Jerkovic的MLX董事职务以及委任Brett Smith为MLX董事。
Smith于天然资源方面拥有逾30年经验，现时为亚太资源的执行董事以及Tanami Gold NL及Prodigy Gold NL的非执行董事，而彼曾为其扭转局面成为成功黄金勘探商作出贡献。Smith自2014年1月起亦为龙资源(01712.HK)的执行董事。Smith带领龙资源扭转其财务状况，由2013年的亏损2300万澳元回升至录得盈利，并完成开发两个新的矿场及一项香港上市事项。
于接获通知后，MLX已于澳交所刊发以下公告：
(a)于2019年9月2日(“第一份公告”)，MLX宣布：(i)Milan Jerkovic已辞任MLX董事，而Peter Newton有意于MLX股东周年大会上退出MLX董事会；及(ii)MLX董事会将藉此机会开始重组董事会，并正甄选新的董事会成员。
(b)于2019年9月3日(“第二份公告”)，MLX宣布，其已接获关于亚太资源有意动议委任及罢免MLX董事以及要求召开股东大会以审议该等决议案的通知。
亚太资源认为，第二份公告遗漏重要资料，以及错误地制造第一份公告所公布Jerkovic辞任及Newton有意辞任与MLX接获通知无关的印象。其中，第二份公告未能说明：(a)MLX接获通知的日期(即于第一份公告前)；及(b)亚太资源策略亦要求罢免Jerkovic。
亚太资源策略将继续寻求委任Smith加入MLX董事会，以及(除非Newton于下次股东大会前辞任)罢免Newton的董事职务。亚太资源策略将支持于能够物色合适人选时尽快委任一名额外的独立董事。
