招商蛇口(001979.SZ)拟设立REITs并在联交所上市
格隆汇9月3日丨招商蛇口(001979.SZ)公布,公司筹划拟通过境外控股子公司间接持有的、位于深圳市南山区蛇口区域的五项物业作为底层资产,在香港设立房地产投资信托基金,并在香港联交所上市(“房托上市”)。
1、递交房托认可申请
作为筹备房托上市的第一步,公司的控股子公司招商局置地(00978.HK)通过其香港全资子公司Fair Winner Enterprises Limited/荣腾企业有限公司(暂定名;“房托管理人”)于2019年9月2日就拟于香港设立的China Merchants Commercial Real Estate Investment Trust/招商局商业房地产投资信托基金(暂定名;“CMC REIT”)向香港证监会”递交了认可申请。在香港证监会确认对于认可申请再无进一步意见后,房托管理人将向香港联交所提交CMC REIT的正式上市申请表格。
2、房托上市
拟注入CMC REIT的底层资产是位于深圳市南山区蛇口区域的四项商业物业,即新时代广场、科技大厦、科技大厦二期及数码大厦,及一项商场物业,即蛇口花园城中心(统称“五项物业资产”)。目前,公司通过境外全资子公司Frontier Shekou Commercial Holdings Limited(“Frontier”)及Frontier的境外子公司间接持有五项物业资产。公司正筹划将Frontier的100%股权转让予CMC REIT,CMC REIT再向公众发行REIT基金单位,最终由CMC REIT的受托人以信托形式代表CMC REIT基金单位持有人的利益而持有Frontier的股权。
此次拟设立房地产投资信托基金并上市是公司对开拓创新性融资渠道作出的有益尝试,CMC REIT上市将有助于增进公司对商业物业的资本运作与管理能力,进一步增强公司城市发展与产业升级综合服务中物业管理业务的综合竞争力。
