美格智能(002881.SZ)拟售与精密模具开发和精密组件生产相关资产
格隆汇9月2日丨美格智能(002881.SZ)公布，公司于2019年9月2日召开了第二届董事会第十次会议和第二届监事会第十次会议，审议通过了《关于公司出售资产的议案》，同意公司向深圳市众为精密科技有限公司(“众为精密”)出售与精密模具开发和精密组件生产相关的生产设备及附属设施。
公司于2019年9月2日与众为精密及众为精密的实际控制人陈开念签订了《资产转让协议》，众为精密拟以现金方式购买公司拥有的与精密模具开发和精密组件生产相关的生产设备及附属设施，交易金额为人民币5196万元(含税,不含税交易价格为4598.23万元)，陈开念为众为精密在《资产转让协议》项下的付款义务提供连带责任担保。
此次资产转让的交易标的为公司拥有的与精密模具开发和精密组件生产相关的生产设备及附属设施，包括：模具设备、CNC加工中心、精密数控线切割机、数控火花机、注塑机、全自动喷涂生产线、恒温恒湿PVD自动生产线、真空电镀炉、全自动组装线、检测仪器仪表、变压器、装修环保设施、配套生产工具等,但不包括精密模具和精密组件生产相关的原材料、在产品、半成品、成品等。此次交易不涉及土地或房屋，也不涉及无形资产。全部交易标的位于深圳市宝安区岭下路5号公司厂区内，均属于公司所有，权属清晰，不存在抵押、质押或其他第三人权利，不存在重大争议、诉讼或仲裁事项，也不存在查封、冻结等情形。
精密组件业务2018年度收入占公司总营收的比例为28.17%，2019年上半年精密组件业务营收占比继续下降至13.00%，在公司总营收中占比较小。公司的核心业务是以无线链接和通信传输为基础的4G/5G无线通信模组及物联网行业应用，精密组件业务则根据市场情况灵活调整。2019年以来，在外贸出口市场不景气和竞争加剧的大环境下，叠加中美贸易摩擦的影响，以及智能手机市场出货量整体持续衰退，导致2019年上半年公司精密组件客户的订单量下滑严重。结合公司既定的业务发展思路，为降低精密组件业务运营成本和运营压力，优化资产结构，公司决定出售精密组件业务的相关资产。
此次出售资产后，公司将保留现有的业务团队，继续维护精密组件现有客户及供应商关系，并通过委托加工等方式继续经营精密组件业务。此外公司物联网业务中终端产品对精密组件有持续需求，公司也将调整精密组件运营人员，为公司物联网业务中的终端产品提供配套服务。因此此次资产出售对公司营业收入整体影响较小。
此次资产出售符合公司逐步聚焦物联网业务发展的战略需要，有利于促进公司资源的有效配置，进一步推动物联网业务作为公司核心业务的稳定发展，符合公司与股东的整体利益。此次出售资产后，精密组件业务将调整经营思路继续运作，不会影响公司整体生产经营活动的正常进行，不会对公司本期及未来财务状况、经营状况产生重大影响，对公司的独立性也没有不利影响。
