大悦城(000031.SZ)子公司将上海长风大悦城、西安大悦城项目相关股权注入大悦城商业并购改造基金
格隆汇8月31日丨大悦城(000031.SZ)公布,公司控股子公司大悦城地产有限公司(“大悦城地产”,公司持有其已发行普通股及可转换优先股合计股份数的59.59%)于2017年8月17日发布了《有关成立基金之须予披露交易》公告,通过设立境外基金、境内基金单独或共同寻找位于中国境内潜在物业项目的收购机会,从而升级改造为大悦城地产自有旗舰品牌大悦城商业项目或商业综合体项目。
大悦城地产与GIC (Realty) Private Limited(“GIC”)已在开曼群岛联合设立大悦城境外并购改造基金Garbo Commercial Property Fund L.P. (“Garbo Commercial”或“境外并购改造基金”)。大悦城地产全资子公司Bright Motion Limited(耀动有限公司,“Bright Motion”或“耀动”)持有境外并购改造基金36.36%的权益,GIC全资子公司Reco Joyrepo Private Limited(“RECO”)持有境外并购改造基金63.64%的权益。
为了实现轻重并举的“大资管”发展战略,充分利用地产基金实现资本循环闭环,降低融资成本,助力公司长足发展,公司控股子公司大悦城地产有限公司于近日签订相关协议,将其持有上海长风大悦城及西安大悦城项目资产相关的股权注入境外并购改造基金。
其中:上海长风大悦城资产股权交易对价为人民币0.92亿元,西安大悦城资产股权交易对价为人民币1.15亿元。此外,耀动、RECO按投资比例对境外并购改造基金分别实缴资本并由相应标的公司清偿原由大悦城地产(或其关联方)对上海长风大悦城项目提供的股东借款(含利息)及往来款人民币14.32亿元、对西安大悦城项目提供的股东借款(含利息)及往来款人民币6.69亿元。
