大唐发电(00991.HK)拟斥资53.44亿元收购附属辽宁新能源等公司余下股权
格隆汇8月30日丨大唐发电(00991.HK)发布公告，2019年8月30日，公司与首誉光控资产管理有限公司(“卖方”)订立(i)辽宁转让协议、(ii)河北股权转让协议、(iii)内蒙古股权转让协议、(iv)福建股权转让协议；及(v)云南股权转让协议，据此，公司有条件同意分别收购上述销售股权，总代价为人民币约53.44亿元。
于公告日期，由于公司分别持有辽宁新能源公司、河北新能源公司、内蒙古新能源公司、福建新能源公司及云南电力公司的53.85%、51.94%、51%、53.64%及60.91% 股权，各目标附属公司为公司非全资子公司。收购事项完成后，各目标附属公司将成为公司全资子公司。
辽宁新能源公司为一家于中国成立的有限公司。于公告日期，辽宁新能源公司由公司持有53.85%股权及卖方持有46.15%股权。其主要管理运营风电及光伏项目，装机容量为68.75万千瓦。
河北新能源公司为一家于中国成立的有限公司。于公告日期，河北新能源公司由公司持有51.94%股权及卖方持有48.06%股权。其主要管理运营风电项目，装机容量为48.9万千瓦。
内蒙古新能源公司为一家于中国成立的有限公司。于公告日期，内蒙古新能源公司由公司持有51%股权及卖方持有49%股权。其主要管理运营风电及光伏项目，装机容量为31.225万千瓦。
福建新能源公司为一家于中国成立的有限公司。于公告日期，福建新能源公司由公司持有53.64%股权及卖方持有46.36%股权。其主要管理运营风电项目，装机容量为17.76万千瓦。
云南电力公司为一家于中国成立的有限公司。于公告日期，云南电力公司由公司持有60.91%股权及卖方持有39.09%股权。其主要管理运营火电、水电及光伏项目，装机容量为265.3万千瓦。
公告表示，收购事项将调整并优化集团的股权结构，提升公司的管理和营运效率，并进一步提高公司的盈利能力。收购事项完成后，辽宁新能源公司、河北新能源公司、内蒙古新能源公司、福建新能源公司及云南电力公司将成为公司的全资子公司。
