希望教育(01765.HK)拟5.5亿元收购银川若干所学校及公司
格隆汇8月29日丨希望教育(01765.HK)公告，于2019年8月29日，买方四川希望教育及卖方宝塔集团、银大控股与史兴家订立收购协议，据此，卖方有条件同意出售而买方有条件同意收购目标学校(能源学院、职业学校、技工学校及培训中心)100%举办者权益及目标公司银大汽修厂与银大驾校100%股权，代价为人民币5.5亿元，惟受限于调整。
于收购事项完成后，(a)买方将拥有目标学校100%举办者权益及目标公司100%股权；(b)目标公司将成为公司的间接全资附属公司，而目标主体的财务业绩将综合入账至集团的综合财务报表。
能源学院创办于1999年10月，2012年3月经教育部正式批准升格为科院。能源学院位于宁夏自治区首府银川市，是全国应用技术大学联盟理事单位，教育部－中兴通讯ICT产教融合创新基地入选高校。全国科技工作者状况调查站点单位，宁夏自治区首所民办高校科学技术协会单位，国家自然科学基金依托单位，宁夏唯一招收留学生的民办高校。能源学院校园面积约1471亩，校舍面积约46万平方米。于公告日期，该学院拥有约11300名学生，其中科学生约6800人，专科学生约4500人。
职业学校于2017年经宁夏自治区教育厅批准成立，办学层次为中等职业学校，2018年开始招生，于公告日期，该学校拥有约3700名学生。
技工学校于2016年经宁夏自治区人社厅、宁夏自治区民政厅批准成立的民办非企业机构，于公告日期，该学校拥有约160名学生。
培训中心于2001年经宁夏自治区人社厅批准成立的民办非企业机构，主要经营国家职业资格培训业务，为宁夏自治区定点培训机构。
目标主体地处宁夏自治区首府银川市，目标院校在宁夏自治区拥有良好的办学口碑，过硬的办学质量，收购事项将进一步扩大我们的学校网络及覆盖范围，增加集团学生总数，提升盈利能力，也将与集团的其他院校与目标院校形成较强的协同效应。
