希望教育(01765.HK)拟收购苏州托普学院及昆山技工学校的举办人权利
格隆汇8月25日丨希望教育(01765.HK)公布，于2019年8月23日，公司全资附属四川希望教育拟向多名卖方收购目标公司(上海普梦和昆山欣韦的统称)100%股权，股权代价为人民币3.76亿元，同时买方借款给目标公司与目标学校(苏州托普学院和昆山技工学校的统称)用于偿还目标公司与目标学校债务人民币2425.52万元，总额为人民币4亿元。
上海普梦直接持有昆山欣伟99%股权，主要从事投资控股。昆山欣韦的业务是持有苏州托普学院及昆山技工学校的100%权益。于2003年，经江苏省教育厅批准，目标公司开始举办苏州托普学院并开展民办高等教育。于2018年，经江苏省人社厅批准，目标公司开始举办昆山技工学校并开展民办中职教育。目标公司的业务是拥有苏州托普学院及昆山技工学校的举办人权利。
苏州托普学院成立于2003年，位于江苏省昆山市，紧邻阳澄湖自然保护区，是经江苏省人民政府批准、教育部备案的民办高等院校。学院与多家优质企业建立了校企合作，已建约60余个校外实习实训基地。于公告日期，该学院拥有约5,000名学生，并拥有位于中国昆山市的校区，校园面积约310亩。昆山技工学校成立于2018年，位于江苏省昆山市，位于苏州托普学院内，是经昆山市人力资源和社会保障局批准成立的技工学校，主要从事技工教育、培训业务，学校拥有学生约500人。
目标学校地处全国百强县之首的昆山市，位于长三角地区，东临上海，西邻苏州，靠近杭州，地处中国重要的电子信息产业集聚发展区，人才需求旺盛，凭藉区位优势，该学院已建立成熟的校企合作人才培养模式。考虑到目标学校极好的区位和人才培养模式，发展潜力较大，并将与公司的现有院校形成协同效应，促进学生就业；凭藉此次收购，集团将进入另一个重要战略区域－长三角地区，进一步拓展公司的学校网络及加大市场渗透率。
