亚联基建(00711.HK)斥1.2亿元向关连方收购九肚山地盘权益
亚洲联合基建控股(00711.HK)公布,於今日(23日)交易时段後,买方(公司之间接全资附属公司)与卖方及担保人订立买卖协议,据此,买方已有条件同意收购而卖方已有条件同意出售待售股份及待售贷款,总代价近1.2亿元。
完成後,公司将间接拥有目标公司之40%股权,而目标公司及其附属公司均将成为公司之联营公司。
目标公司主要从事投资控股。目标公司之主要资产为间接持有该地盘之10%权益。该地盘,指位於沙田九肚山第56A区沙田市地段第579号之地盘,其上之若干幢住宅物业之建设工程已大致竣工并将於取得香港政府地政总署发出之预售楼花同意书及合约完成证明书後可供出售。
於本公告日期,卖方分别由彭一庭拥有45%、李蕙娴拥有45%及李彭一心女士拥有10%之股权。彭一庭及李蕙娴各自为公司之控股股东及执行董事。彭一庭亦为董事局主席。
