浪潮国际(00596.HK)拟1.7亿元收购浪潮天元剩余股权整合市场并扩大现有客户网络
格隆汇8月23日丨浪潮国际(00596.HK)宣布，于2019年8月23日，公司非全资附属汇富拟向卖方进德国际购回其本身49%已发行股本，总代价为人民币1.70亿元，其将由汇富有限公司以现金支付。
于公布日期，公司间接持有汇富的51%股权，而卖方则持有汇富的剩余49%股权。汇富间接持有浪潮天元的49%股权，而公司则间接持有浪潮天元的剩余51%股权。因此，公司间接持有浪潮天元的75.99%股权，而卖方则间接持有浪潮天元的剩余24.01%股权。于建议收购事项完成后，浪潮天元将成为公司的全资附属公司。
浪潮天元集团主要从事有关通信行业及交通运输行业的软件开发及服务以及大数据服务业务。股份回购协议完成后，公司将间接持有浪潮天元集团的100%股权。
浪潮天元集团的核心业务如下：(1)面向电信运营商的软件开发与服务，包括提供支撑系统软件开发(OSS业务)等，客户群涵盖中国三大电信运营商的附属公司、产品涵盖OSS全领域的应用；(2)面向通信、能源、交通行业的大数据服务业务。核心产品及服务包括：大数据基础平台(Hadoop)、数据资源管理与数据交换共享平台、数据分析挖掘与可视化平台、数据流通平台、"智慧大脑"平台等，以及围绕相关行业大数据提供IT谘询与规划服务、数据管理服务、知识智库服务、平台IT运维服务等。
由于建议收购事项完成后，将有助于集团进一步整合市场并扩大其现有客户网络，预期公司将受惠于更高的回报。甚至，集团可与浪潮天元集团开展更密切的合作，以向其电信、能源及交通行业的客户推介管理软件及SaaS服务。建议收购事项亦将令集团透过浪潮天元集团作出进一步投资、帮助达致人力资源的协同作用及促进研发人员之间的协作，以共享并追踪产品的最新发展趋势。所有这些举措均将有利于加快研发步伐以及应用解决方案与5G技术之间的融合，最终将促进营业额增长及提升集团的经营效益。
