日照港裕廊(6117.HK)暴涨近50%获山东省国资委接手
格隆汇8月23日丨日照港裕廊(6117.HK)今日出现暴涨行情，现报1.34港元，涨47.25%，暂成交1872万港元，最新总市值21.28亿港元。
日照港裕廊发布公告称，于2019年8月22日，公司获控股股东日照港股份告知，山东省国资委、山东省港口集团、日照市政府于2019年8月22日订立了《股权转让协议》，日照市政府同意按零对价向山东省港口集团转让其持有的日照港集团100%的股权。建议重组旨在整合山东省的港口资源。
于本公告日，日照港股份直接持有公司8.4亿股内资股股份，占公司已发行股份总额的50.60%。日照港集团直接持有日照港股份13.4亿股A股股份，日照港集团通过其全资子公司岚山港务间接持有日照港股份2719.8万股A股股份，合计持有日照港股份13.67亿股A股股份，占日照港股份已发行股份总额的44.46%。日照市政府持有日照港集团100%股权。山东省国资委，通过各种非全资中间实体，间接控制日照港股份已发行股份总额的8.69%。
建议重组完成后，山东省港口集团(系山东省国资委控制的实体)将直接持有日照港集团100%股权。日照港集团将继续持有日照港股份已发行股份总额的44.46%。加上山东省国资委已经控制的日照港股份8.69%的股权，山东省国资委因此将间接控制公司已发行股份总额的50.60%。日照港集团的最终控制人将从日照市政府变更为山东省国资委。
日照港裕廊股份有限公司是一家主要从事港口经营业务的中国公司。该公司主要提供装卸、泊位租赁、港务管理、堆存及物流代理服务等综合性港口相关服务,主要涵盖大豆、木片、木薯乾、玉米和小麦等。该公司主要在中国境内开展业务。
据悉，按2018年吞吐量计，日照港裕廊是最大的中国大豆及木片进口港口，过去三年的净利润分别是人民币7840万元、1.27亿元以及1.49亿元，净利润的复合增长为37.9%，增速远超行业平均水平。截至2018年底，公司的毛利率由2016年的28.5%提升至42.1%，净利润率也由16.1%增至28.0%。
