银城国际控股(01902.HK)出售附属25%股权与投资者共同开发南京地块

格隆汇8月22日丨银城国际控股(01902.HK)公布,根据先前公告,项目公司南京至君房地产开发有限公司(公司的间接全资附属公司,由公司及江苏爱地分别拥有50%及50%权益)作出土地收购事项,透过公开拍卖竞得南京地块的土地使用权,代价为人民币25.1亿元,由公司、南京银嘉浈及江苏爱地按50/50比例以平等份额支付。

为提升集团资本效益以及减低集团发展地块的投资风险,集团计划额外引入投资者上海铭布共同投资于土地收购事项及发展地块,方式为向上海铭布出售项目公司25%股权。

于2019年8月21日,南京银嘉浈与上海铭布订立股权转让协议,据此,南京银嘉浈出售而上海铭布收购南京银嘉浈所持项目公司25%股权,代价为人民币2.5亿元,有关金额乃经参考项目公司起始注册资本25%股权的面值。

公告称,根据合作协议及于出售事项完成后,南京银嘉浈、江苏爱地及上海铭布将以向项目公司提供股东贷款方式,按彼等各自于项目公司股权比例对注册资本及超额部分出资,为项目公司应付的土地收购事项成本总额提供资金。

出售事项完成时,尽管南京银嘉浈、江苏爱地及上海铭布各自的股权分别为25%、50%及25%,彼等各自于项目公司的股东表决权比例将分别为51%、24%及25%,而南京银嘉浈将就股东作出决策继续持有51%表决权,并有权委任项目公司董事会大部分成员。因此,项目公司将于出售事项完成时继续为公司附属公司。

据悉,出售事项所得款项净额将约为2.5亿元,拟用作集团一般营运资金。
