中国再生医学(08158.HK)附属百奥与Miskawaan订立实验室资产合作协议
格隆汇8月21日丨中国再生医学(08158.HK)宣布，于2019年8月21日，公司全资附属公司百奥与更健康国际医疗集团附属Miskawaan订立协议，据此，百奥作为实验室资产的唯一合法及实益拥有人同意不附带任何产权负担地将实验室资产租赁予Miskawaan，代价为每年租金1港元、Miskawaan于完成时向百奥授出行使价为3000万港元的认沽期权及于流通性事件中可转换为Miskawaan的股份或将由Miskawaan向百奥以现金方式支付NSH。百奥亦同意于完成时向Miskawaan授出行使价为3000万港元的认购期权。Miskawaan同意于2019年8月1日至最后截止日期期间每月就租赁物业向百奥支付70万港元。
公司附属公司百奥于香港物业经营公司的中国干细胞临床应用中心及基因制备中心。其向国际生物技术企业、国际药厂、临床应用机构、细胞库等提供符合国际与国内的细胞制备质量标准的工艺流程，以及临床应用转化的技术平台，以用于公司日后细胞疗法的完善及发展。
Miskawaan将立即于香港开始建立GMP(优良生产质量管理规范)认证实验室，该实验室将专注于乾细胞技术及乾细胞相关药物的研发。此将包括MHG进一步研发自己专有的Miskawaan嵌入式乾细胞疗法。MHG管理层认为，建立GMP认证实验室将大大加快MHG未来的若干计划、产品及计划的实施。该等举措包括进一步研发MHG现有的专有癌症预防及治疗疗法，与其他德国教授就自己专有的癌症预防及治疗疗法进行合作研发，该等疗法专门提供予MHG，以及建立MHG专有输液生产实验室。
该项合作意在充分利用百奥的优质的设施和条件，引进欧美先进的细胞技术和产品，进而推进百奥GMP车间的申报和认证，加快先进细胞疗法在香港的合法临床应用治疗，成为香港首批通过GMP认证的细胞制备中心和细胞治疗产品，服务于香港、大陆及东南亚地区的广大民众。
