宝龙地产(01238.HK)拟分拆宝龙商业管理在联交所主板独立上市
格隆汇8月20日丨宝龙地产(01238.HK)公布,公司建议分拆公司附属公司宝龙商业管理的股份在联交所主板独立上市。宝龙商业管理股份于联交所主板独立上市构成该公司根据应用指引第15项分拆宝龙商业管理。联交所已确认该公司可进行建议分拆。
于2019年8月20日,宝龙商业管理透过其委任的独家保荐人农银国际融资有限公司就申请宝龙商业管理股份于联交所主板上市及获准买卖,向联交所递交上市申请表格(A1表格)。按照计划,宝龙商业管理将就上市进行其新股份的发售。待建议分拆及上市完成后,该公司预期将拥有宝龙商业管理不少于50%权益,而宝龙商业管理将仍然为该公司的附属公司。
据悉,宝龙商业管理于2019年3月25日于开曼群岛注册成立。分拆集团主要从事商业运营服务及物业管理服务。
公司称,分拆集团的业务规模已增长至足以实行独立上市,而董事会认为基于下列理由,建议分拆将对该集团有利:(a)建议分拆将为该公司及股东提供机会,透过分拆集团业务的独立平台,变现分拆集团的投资价值;(b)建议分拆让分拆集团能够建立其作为独立上市集团的身份,并拥有独立的集资平台,透过全球发售拓阔投资者基础。建议分拆可让分拆集团在毋须依赖该公司的情况下,直接接触资本市场以进行股本或债务融资,为其现有业务及未来扩充提供资金,从而有助于分拆集团提高营运及财务管理效率。
(c)建议分拆将让分拆集团透过持续改善及升级其现有运营及服务系统,提升其服务水平;(d)建议分拆将可提升分拆集团的公司形象,继而更加有能力吸引寻求投资商业运营及物业管理行业的策略投资者投资于分拆集团及直接与分拆集团组成策略性伙伴,而该等策略投资者则可为分拆集团创造协同效益;及(e)建议分拆让保留集团及分拆集团能够更专注彼等各自业务的发展、策略规划及更有效地分配资源;保留集团及分拆集团将受惠于独立管理架构下更具效率之决策过程,以便把握新兴商机,尤其是分拆集团设有专属管理团队专注于其发展。
